Services / Statement of Work. Subject to payment in accordance with a quote or other related document (the “Quote”) issued by Xxxxxxx Networks, Inc. (“Xxxxxxx”), which provides that the customer identified in the Quote (“Customer”) is purchasing installation and configuration services for the software and, if applicable, hardware described in the Quote (the “System”), Xxxxxxx agrees to provide such services under the terms and conditions of this Statement of Work (this “SOW”) and the applicable terms of the Quote. Capitalized terms used but not defined in this SOW are used as defined in the Terms and Conditions included in the Quote (the “Quote Terms”). The Services described in this SOW will be provided only if purchased under a Quote. All services provided hereunder are “Services” as that term is used in the Quote Terms.

Services / Statement of Work. (a) CareHere Obligations. CareHere will: (i) Perform a wide range of services (“Services”) during the term of this Agreement. Such Services will be specifically described in the SOW, attached hereto as Exhibit A and incorporated herein by this reference. (ii) Furnish qualified employees and independent contractors (collectively “CareHere Personnel”) and provide such supplies and equipment as may be reasonably necessary to provide the Services. (iii) Arrange for and deliver healthcare services provided by one or more licensed physicians, nurse practitioners, physician assistants, licensed practical nurses, medical assistants, pharmacists, or other healthcare personnel (collectively “Health Care Personnel”) who shall examine and/or treat Patients at the Health Center or shall directly supervise the provision of Services by other CareHere Personnel, as required by applicable medical practice acts, nurse practice acts, or other laws. References in this Agreement to the CareHere Personnel include, as applicable, the Health Care Personnel.

Services / Statement of Work. 1.1 The services (“Services”) to be provided by NovioQ to Client pursuant to this Agreement shall be set forth in one or more Statements of Work as agreed by the parties from time to time. Each Statement of Work (“SOW”) shall set forth the specific Services to be provided, deliverables, if any, Client obligations, the schedule for performance of the Services, payment terms and such other matters as the parties shall agree upon. In the event of any conflict between the terms of the SOW and the terms contained in the body of this Agreement, the terms in the body of this Agreement shall prevail unless the SOW states specifically otherwise in which case the specific terms of the SOW shall prevail but only for purposes of the Services to be provided under such SOW. In addition to performance of specific Client obligations set forth in the SOW, the Client shall cooperate with NovioQ to facilitate the performance of the Services. No change in the Services to be provided pursuant to the SOW shall be effective unless agreed to in writing by the parties. 1.2 Either party may, at any time during the Term, request in writing changes to the Services. The parties shall evaluate and, if agreed, implement all such changes in accordance with the change request procedure set forth in the applicable SOW. No changes will be effective unless and until memorialized in a written change order signed by both parties. Developer may from time to time in its discretion engage third parties to perform Services.

  • Statement of Work The Statement of Work to which Grantee is bound is incorporated into and made a part of this Grant Agreement for all purposes and included as Attachment A.

  • Detailed Description of Services / Statement of Work Describe fully the services that Contractor will provide, or add and attach Exhibit B to this Agreement.

If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Transition Services Agreement Seller shall have executed and delivered the Transition Services Agreement.

  • Design Services The Engineer shall perform services during the schematic design phase, the design development phase, the contract documents phase, and the bidding period as hereinafter specified.

  • Hosting Services NCR Voyix shall furnish facilities, equipment, computer programs and services, as specified from time to time by NCR Voyix, that NCR Voyix deems necessary for operation and maintenance of the System (collectively, the “Hosting Services”).

  • Statements of Work From time to time, the Parties may execute statements of work that describe the specific services to be performed by Modernizing Medicine, including any work product to be delivered by Modernizing Medicine (as executed by the Parties, a “Statement of Work”). Each Statement of Work will expressly refer to this Agreement, will form a part of this Agreement, and will be subject to the terms and conditions contained herein.
