Shipper Assignment. Shipper shall not be entitled to assign or transfer Shipper’s rights and obligations with respect to all or any portion of the Committed Volume to a party who is not an Affiliate of the Shipper without the prior written consent of Carrier, which consent shall not be unreasonably withheld provided however, that if Shipper or its Affiliate sells all or part of its operations that are directly connected to the Pipeline or that receive or process Crude Petroleum shipped through the Pipeline, to any Person, Shipper shall be entitled to assign or transfer Shipper’s rights and obligations with respect to this Agreement and all or any portion of the Committed Volume to any Person that purchases such operations and meets the provisions of Article 14 without the prior written consent of Carrier. Carrier shall, without limitation, be deemed reasonable in refusing its consent to an assignment if the assignee or transferee fails to satisfy the provisions of Article 14 or if a Shipper Default has occurred and is continuing. For greater clarity, Shipper may transfer Shipper’s rights and obligations with respect to all or any portion of the Committed Volume to an Affiliate of the Shipper, if the Affiliate satisfies the provisions of Article 14, except that if a Shipper Default has occurred and is continuing, the prior written consent of Carrier shall be required, which consent shall not be unreasonably withheld.

Shipper Assignment. (a) Subject to the remaining provisions of this Section 16.1, Shipper shall not assign its rights and obligations under this Agreement to an Assignee in whole or in part for the remainder of the Term or for any portion thereof without the prior consent of Carrier, such consent not to be unreasonably withheld. Notwithstanding the foregoing, it shall be reasonable for the Carrier to withhold its consent in respect of any assignment pursuant to this Section 16.1(a) where (i) in the opinion of Xxxxxxx, acting reasonably, any such proposed Assignee would not be capable of satisfying all of the contractual obligations of Xxxxxxx set forth hereunder, including as it relates to satisfying the Financial Assurance requirements set forth in Schedule “D” in all respects and the ability of the Assignee to designate other Interests and/or xxxxx and production facilities in the existing Designated Area or another area that can be designated as a Designated Area that are equivalent to the Designated Interests and/or Designated Facilities designated by Shipper hereunder based on the capability to handle the Monthly Volume Commitment being assigned, as determined by Carrier, in its sole discretion, (ii) if such proposed Assignee would be required to provide Financial Assurances at the time of the Assignment as set forth in Schedule “D”, until such time as the proposed Assignee provides such Financial Assurances, or (iii) in the event of a partial assignment of Xxxxxxx’s Monthly Volume Commitment, less than all of the rights and obligations of Assignor corresponding to such assigned portion of the Monthly Volume Commitment would be assigned or assumed by Assignee. Shipper shall, prior to the effect of any such proposed assignment provide Carrier with its intended form of assignment and novation agreement and shall incorporate all requests of Carrier, acting reasonably, for modifications to such form of assignment and novation agreement in respect of form and/or content.

  • TEACHER ASSIGNMENT A. Under normal circumstances, the teachers will be notified by the Administration in writing of their programs for the coming school year, including the school(s) to which they will be assigned, the grades and/or subjects that they will teach, and any special or unusual classes that they will have by one (1) week before the close of school. Changes in such programs may be made after one (1) week before the close of school, if necessary, and the teachers involved in the change will be notified as soon as possible.

  • SUBCONTRACTS - ASSIGNMENT Contractor shall not subcontract or assign this Agreement, or any part thereof, or interest therein, directly or indirectly, voluntarily or involuntarily, to any person without obtaining the prior written consent by County. Contractor remains legally responsible for the performance of all contract terms including work performed by third parties under subcontracts. Any subcontracting will be subject to all applicable provisions of this Agreement. Contractor shall be held responsible by County for the performance of any subcontractor whether approved by County or not. Contractor hereby assigns to the County all rights, title, and interest in and to all causes of action it may have under Section 4 of the Xxxxxxx Act (15 U.S.C. Sec. 15) or under the Xxxxxxxxxx Act (Chapter 2 (commencing with Section 16700) of Part 2 of Division 7 of the Business and Professions Code), arising from the purchase if goods, materials, or services by the Contractor for sale to the County pursuant to this Agreement.

  • Subcontracting; Assignment The Contractor may not subcontract any portion of the services provided under this Contract without obtaining the prior written approval of the Procurement Officer, nor may the Contractor assign this Contract or any of its rights or obligations hereunder, without the prior written approval of the Procurement Officer provided, however, that a contractor may assign monies receivable under a contract after due notice to the State. Any subcontracts shall include such language as may be required in various clauses contained within this Contract, exhibits, and attachments. The Contract shall not be assigned until all approvals, documents, and affidavits are completed and properly registered. The State shall not be responsible for fulfillment of the Contractor’s obligations to its subcontractors.

  • Other Assignments Except as otherwise expressly provided in this Agreement, the provisions of this Agreement shall inure to the benefit of and be binding upon, the successors and permitted assigns of the parties. Neither party shall assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, which shall not be unreasonably withheld.
