Short-Term Investments. (a) The cash in the Joint Account shall be invested in short-term investments (including undivided interests in such investments held in common with other Participants that are customers of Bank) of the type set forth on Schedule A ("Cash Instruments"). Each Fund shall remain fully responsible for overdrafts of its Deposit Account or Custody Account resulting from the placement of cash in a Joint Account and invested in a Cash Instrument. (b) The placement of cash into Cash Instruments shall be limited to cash held in the currencies, and shall be subject to the minimum balance requirements, set forth in Schedule A. Bank may enter into Cash Instrument transactions on behalf of Fund(s) with any of the counterparties listed on Schedule B to this Rider ("Schedule B"). Bank may make additions to and deletions from Schedules A or B, PROVIDED that (i) Customer must consent to the addition of any type of instrument to those eligible as Cash Instruments and (ii) Customer must approve any additions of counterparties listed in Schedule B. Customer may instruct Bank to delete any of the counterparties listed in Schedule B.
Short-Term Investments. The REIT Manager may invest and reinvest any monies and securities of the Company in short-term investments pending investment in Company Properties. Unless a specific new policy is developed by the REIT Manager and approved by the Board, the REIT Manager may invest and reinvest any monies and securities of the Company, pending investment in Company Properties, in accordance with current practice and policies developed by the REIT Manager and approved by the Company.
Short-Term Investments. Not later than five days prior to the earliest expiration date of the Offer, the Company shall open an account in the name of the Company at CSFB and shall deposit at least $75 million into such account consisting of cash and all of the short-term investments of the Company and the Company Subs (including, without limitation, municipal bonds and other securities) (collectively, "Short-Term Investments"). The assets held in the ---------------------- CSFB account shall remain the property of the Company, and the Company shall have absolute control over such account and shall be entitled to all interest earned on the Short-Term Investments held in the such account. The Company shall take all actions necessary to convert all of the Short-Term Investments into cash or liquid investments readily convertible into cash on demand not later than the first Business Day following the expiration date of the Offer. To the extent that any Short-Term Investments mature prior to the expiration date of the Offer, the Company shall deposit the funds obtained thereby into the CSFB account in the form of cash or liquid investments readily convertible into cash on demand.
Short-Term Investments. The Investment Manager may, if it deems advisable, maintain any portion of the assets of the Company in cash, cash-equivalents and short-term obligations.

The fact that Custodian, any affiliate of Custodian, or any affiliate of BANC ONE CORPORATION is providing services to and receiving remuneration from the foregoing investment company or investment trust as investment advisor, custodian, transfer agent, registrar, or otherwise shall not preclude Custodian from investing in the securities of such investment company or investment trust; (ii) Savings accounts, time deposit accounts, certificates of deposit, money market funds or other evidences of deposit issued by Bank One, Columbus, N.A. and/or any other national bank, savings and loan institution, state member bank, state non-member bank, or other depository institution which now or in the future is an affiliate or subsidiary of Custodian or of BANC ONE CORPORATION.

Short-Term Investments. Short-term investments consist of redeemable guaranteed investment certificates issued by Royal Bank of Canada bearing interest at variable rates, one purchase of $1,539,354 that matures February 7, 2006, two of which (one purchase of $40,510 and one purchase of $364,711) that matures April 24, 2006, and one purchase of $20,609 that matures May 24, 2006. These investments are recorded at cost.
