SOLICITATION OF CUSTOMERS OR EMPLOYEES. During the term of this Agreement and for a period of twenty-four (24) months after termination of employment, Executive shall not, directly or indirectly, or assist any other person to, solicit, or communicate with, whether by written or personal contact, any customer or prospect of Franklin on behalf of any organization offering products competitive with products Franklin sold or developed while Executive was employed by Franklin, and Executive shall not (i) directly or indirectly, employ or retain or solicit for employment or arrange to have any other person, firm or other entity employ or retain or solicit for employment or otherwise participate in the employment or retention of any person who is an employee of Franklin or (ii) encourage or solicit any such employee to leave the service of Franklin. Executive also acknowledges and agrees that he shall comply with the terms of the Confidentiality and Non-Compete Agreement in effect between him and Franklin. Executive and Franklin agree that of the amount paid to Executive pursuant to paragraph 2 or subparagraph 6(b) or (c) of this Agreement, a portion equal to one times Executive's Salary and one times the bonus paid or payable to Executive pursuant to subparagraph 3(b) for the year prior to the year of termination shall serve as adequate consideration for the restrictive covenants set forth in this paragraph 11.

SOLICITATION OF CUSTOMERS OR EMPLOYEES. Employee agrees that for a period of 36 months from and after the date Employee ceases to be employed by Papa John’s Employee will not directly or indirectly, including without limitation, providing information concerning a customer or employee to third parties, solicit, entice or induce (i) any customer of Papa John’s or an Affiliate to cease doing business with Papa John’s or (ii) any employee to leave the employment of Papa John’s or an Affiliate.

SOLICITATION OF CUSTOMERS OR EMPLOYEES. To protect the confidential, proprietary, and trade secret information of the Company, the parties agree it is necessary to enter the following covenants: x. Xxxxxxxxx agrees that all customers of the Company listed on Exhibit A, from whom Schreuder has solicited business during the two (2) years prior to November 30, 1998 ("the prior two year period") are solely the customers of the Company and not of Schreuder. Schreuder acknowledges and agrees that the names and addresses of the customers of the Company listed on Exhibit A, and all other confidential information relating to those customers, including their buying habits and special needs, which information Schreuder acquired during the prior two year period, are considered secret and disclosed to Schreuder in confidence. Schreuder agrees that for a period of time, ending November 30, 2000, Schreuder will not solicit business, either directly or indirectly, as to products or services competitive with those of the Company from any of the Company's customers listed in the attached Exhibit A, on whom Schreuder called or with whom Schreuder became acquainted during the two year period, either for himself or for any other person, firm or corporation for which he is working either as an employee, consultant or board member. This restriction applies only to those individuals or divisions of large companies that Schreuder called on or became acquainted with in connection with Company business, and will not apply to contact or projects from different locations or divisions of a listed customer. (For example, the Company has listed "Chevron" as a customer because of Schreuder's involvement with a project at the El Paso refinery. It is agreed that Schreuder is restricted from using contacts he made in connection with that project at that office of Chevron to solicit business from those contacts at that location. However, he would not be precluded from soliciting business from Chevron at other locations such as in California or overseas.) x. Xxxxxxxxx agrees that the Company has invested substantial time and effort and resources in assembling, training and managing its present staff of personnel, which constitutes a significant asset of the Company. SOLICITATION OF CUSTOMERS OR EMPLOYEES. Commencing with the date of this Agreement and ending on the date that is two (2) years after the effective date of the sale by an Investor of all of his or her Bank Stock (the "Non-Solicitation Period"), such Investor shall not, directly or indirectly, call on, sell to, solicit business from or render services to any of the Bank's customers who were customers of the Bank at the commencement of, and during, the Non-Solicitation Period, or recruit, persuade or attempt to recruit or persuade any employee of the Bank who was an employee of the Bank at the commencement of the Non-Solicitation Period and at the time of any such prohibited act, to leave the Bank's employ, or to become employed by any other person other than the Bank.

SOLICITATION OF CUSTOMERS OR EMPLOYEES. Commencing with the date of this Agreement and ending on the date that is two (2) years after the effective date of the sale by an Investor of all of his or her Summit Stock (the “Non-Solicitation Period”), such Investor shall not, directly or indirectly, call on, sell to, solicit banking business from or render banking services to any of the Bank’s customers who were customers of the Bank at the commencement of, and during, the Non-Solicitation Period, or recruit, persuade or attempt to recruit or persuade any employee of the Bank who was an employee of the Bank at the commencement of the Non-Solicitation Period and at the time of any such prohibited act, to leave the Bank’s employ, or to become employed by any other person or entity other than the Bank. For purposes of clarification, and not by way of limitation, this Section 4.11 shall not prevent any Investor from calling on, selling to, or soliciting business from any Bank customer if the purpose of such activity is not related to any business or service which is at that time offered by the Bank to any of its customers. Notwithstanding anything contained herein to the contrary, if any Investor is a party to an agreement with the Company, the Bank or the affiliates of either of them which other agreement contains similar non-solicitation provisions as contained in this Section 4.11, then the Non-Solicitation Period applicable to such Investor shall be the longer of the Non-Solicitation Period in this Section 4.11, or the period contained in such other similar agreement.

So long as Employee remains employed by Employer and for a period ending one (1) year after termination of such employment, Employee shall not solicit any employee of Employer or any of its affiliates to become employed by or otherwise associated with Employee in any other business. Employee shall be deemed to be competing with Employer or soliciting a customer, prospective customer or employee of Employer if Employee is engaged in any such activity directly, whether for Employee's own account or as a principal, agent, proprietor, officer, director, employee, Employee or in any other capacity for any other person, corporation or other entity. The foregoing provision, however, shall not prohibit Employee from investing in securities of any corporation whose securities are listed on a national securities exchange or traded in the over the counter market if Employee shall be the owner, beneficially or of record, of less than five percent (5%) of any class of the stock of such corporation.
