Source Code Access. Software that is subject to a Contract for Third-Party Intellectual Property is protected by a written source code escrow agreement that entitles the Company to access such source code in the event of certain specified circumstances (including the insolvency of the supplier) and relevant up-to-date source code has been placed in escrow in accordance with such agreement.

Source Code Access. To the extent required under third party (open source) license terms, and for a period of 36 months following your acceptance of this License Agreement, Barco shall provide access to the source code controlled by a third party (open source) license, via email or download link. If the relevant license terms require so, you may require Barco (attn. its legal department, at the address stated above) to obtain such code on tangible medium against payment of the cost of media, shipping and handling.
Source Code Access. Where Xanda agrees to release source code / database dumps, a preparation fee will apply. Hosting terms commence on the date of delivery of the first Project preview regardless of the domain used unless otherwise defined in the specification. Xanda hosting services are fully managed. Unless otherwise defined in the specification, no direct access will be granted to the client. Xanda offers no hosting service up-time guarantee. The Maintenance Services shall not include providing a server or server connection.
Source Code Access. 11.1 The Client agrees that the Software developed under this Agreement shall be delivered to the Client in object code form only. Provided the Client’s payment obligations have been met, Xxxxxxxx agrees to deliver one copy of the Source Code to the Client upon written request from the Client after the completion of the Services under any particular SOW.
11.2 The Source Code shall be used solely by Client to maintain the Software and shall be subject to every restriction on use set forth in this Agreement. Client agrees not to disclose the Source Code to third parties except on a need-to-know basis and such third parties shall enter into a confidentiality agreement with the Client
Source Code Access. The Source Materials for the VoiceLogistics™ Solution will be placed in escrow with Voxware’s escrow agent pursuant to a Software Escrow Agreement to be executed within thirty (30) days from the execution of this Agreement. If Customer terminates this Agreement pursuant to Article V(8) (due to a material breach by Voxware) or upon the declaration by a court of competent jurisdiction that Voxware is bankrupt (collectively, the “Impact Event”), the escrow agent shall release a copy of the Source Materials to the VoiceLogistics™ System Software to Customer. Notwithstanding anything contained herein to the contrary, upon request by Customer for any reason, the escrow agent shall immediately release the Source Materials to the Enterprise Software to Customer to permit Customer to develop, maintain and support Customer specific applications (collectively, the “Customization Event”) in its sole discretion and in such event, shall not be in violation of the terms and conditions of this Agreement. If the Customer receives Source Materials, in accordance with either the Impact Event or Customization Event, Customer shall only use the Source Materials pursuant to the terms and conditions imposed by this Agreement.
Source Code Access. At NTL's option and upon NTL's request, Entrust ------------------ shall promptly enter into a non-exclusive Entrust Products source code license with NTL, on behalf of Nortel, in substantially the form set forth in Exhibit D (the "Source Code License"). NTL represents as of the Effective Date that the ------------------- terms of the Source Code License are materially similar to the terms of an agreement recently concluded with a third-party licensee of the source code for the Entrust Products, except that NTL is not required to pay any lump sum royalty and for the provisions of Section 5.02 hereof.
Source Code Access. State shall restrict access to the source code to the Licensed Software Program to employees of the State of Indiana or its political subdivisions and third party contractors of the State of Indiana or its political subdivisions. State shall cause any third party contractors who are permitted access to the source code for the Licensed Software System to enter into a confidentiality agreement in the form attached hereto as Schedule 1.

Source Code Access. 6.1. Only if Contractor enters into or petitions for any voluntary or involuntary receivership arrangement, bankruptcy, other insolvency proceeding, or ceases to be in business„ then Contractor shall fully furnish Company, without charge, with the source code for the Software and related information and documentation available within five (5) business days of event.
