Spare Parts and Service. Supplier shall guarantee that all spare parts, module or goods required for the Products will be produced or available in the market for a minimum period of [**] years from the date of passing the inspection. Supplier shall provide Buyer the technical service and support, which include, without limitation: samples, Products technical document, quality certification, training, technical consulting, necessary develop tools and software. In the event Buyer requests the technical service and support, Supplier shall respond within [**] working hours.
Spare Parts and Service. 22.1 Vendor shall maintain the products delivered and give DN access to improved versions for at least two (2) years from the last delivery of the respective product. This maintenance shall include but is not limited to the improvement of program errors, modification of the functionality and the addition of new functions.
Spare Parts and Service. Biochrom shall utilize its commercially reasonable efforts to maintain for seven (7) years from the date of the last shipment of a Product the GE Healthcare Proprietary and Confidential capability to repair the Product and make such repair service available to GE Healthcare and its customers, and furnish documentation, spare parts, service tools, and instruments necessary to service the Product effectively.
Spare Parts and Service. IGT agrees to provide, at its published parts and service list price (less OEM discount), spare parts and service for the IGT Product for a minimum of twenty four (24) months after the discontinuance of the sale of the IGT Product.
Spare Parts and Service. 7.1 BioProgress agrees and acknowledges that FMC may at its sole discretion choose to enter into a contract directly with HH on terms to be agreed to provide spare parts for the NRobe™ Equipment and\or to provide technical support and service for the NRobe™ Equipment after it is installed including repair service, provided however, that if repairs are for a failure of the Equipment covered by the warranty set forth in Article 11, then, whether or not FMC has entered into such a contract, BioProgress shall procure that FMC shall offer HH the first opportunity to carry out such repairs and the cost of such repairs shall be borne by HH. BioProgress hereby grants any and all necessary consents required for FMC to procure spare parts proprietary to BioProgress or covered by the NRobe™ intellectual property direct from HH without the involvement of BioProgress for the purposes of providing such spares and technical support but HH shall pay to BioProgress in respect of such use a royalty of 2.5% of the Net Sales Value of such parts and technical support where “

FMC shall not be entitled to procure spare parts proprietary to BioProgress or covered by NRobe™ intellectual property rights from any person other than BioProgress or the Contract Manufacturer of the subject Equipment without the express prior written consent of BioProgress. The warranty provided under Article 11 of this Agreement shall not apply to the extent that, in the reasonable opinion of BioProgress, any defect in the Equipment is due to technical support or service provided, or spare parts supplied, by an unauthorized third party.
