State Fish Passage Law. Without admission by EWEB, ODFW has determined that the measures required by this Agreement include fish passage within the meaning of ORS 509.585 at the Trail Bridge Dam and Xxxxxx Diversion Dam approved by ODFW under Oregon Administrative Rules (“OAR”) 000- 000-0000, and alternative mitigation in lieu of fish passage at the Xxxxx Dam approved by the Oregon Fish and Wildlife Commission under OAR 000-000-0000. In the event the criteria are not met for construction of a ladder at the Xxxxxx Diversion Dam as described in Section 4.3.1.2.5) of the Aquatics Management Plan, Exhibit B to this Agreement, the Xxxxxx Diversion Dam is exempted from fish passage requirements in accordance with OAR 000-000-0000, which exemption is effective upon ODFW’s approval that criteria are not met. Solely for purposes of Oregon law including the ODFW determinations regarding the application of Oregon law in the previous sentences, EWEB and ODFW reserve their respective rights regarding fish passage at Trail Bridge Dam, Xxxxxx Diversion Dam and Xxxxx Dam, including but not limited to rights under the agreement referenced in Recital I of this Agreement.
State Fish Passage Law. Pursuant to Oregon Laws 1999, chapter 882, PacifiCorp applied for a fish-passage waiver through the Oregon Fish and Wildlife Commission. On March 23, 2001, the commission approved the waiver. The commission and PacifiCorp subsequently entered into an MOU (the ODFW MOU) that is attached to this Agreement as Appendix E, reflecting the waiver and consistent with the terms of this Agreement and ODFW’s section 10(j) recommendations. ODFW and PacifiCorp intend that the terms contained in this Agreement, including the Tributary Enhancement Program set forth in Section 19.1 below, shall satisfy the require ments of chapter 882 and the ODFW MOU concerning fish passage or mitigation associated with Project facilities.

  • Xxxxxxx Xxxxxxx Restrictions/Market Abuse Laws The Participant acknowledges that, depending on his or her country, the broker’s country, or the country in which the Shares are listed, the Participant may be subject to xxxxxxx xxxxxxx restrictions and/or market abuse laws in applicable jurisdictions, which may affect his or her ability to accept, acquire, sell, or attempt to sell or otherwise dispose of Shares or rights to Shares (e.g., Restricted Share Units), or rights linked to the value of Shares, during such times as he or she is considered to have “inside information” regarding the Company (as defined by applicable laws or regulations in the applicable jurisdictions, including the United States and the Participant’s country). Local xxxxxxx xxxxxxx laws and regulations may prohibit the cancellation or amendment of orders the Participant placed before possessing inside information. Furthermore, the Participant may be prohibited from (i) disclosing the inside information to any third party, including fellow employees (other than on a “need to know” basis) and (ii) “tipping” third parties or causing them to otherwise buy or sell securities. Any restrictions under these laws or regulations are separate from and in addition to any restrictions that may be imposed under any applicable Company xxxxxxx xxxxxxx policy. The Participant acknowledges that it is his or her responsibility to comply with any applicable restrictions, and the Participant should consult his or her personal advisor on this matter.

  • Blue Pencil Doctrine If the duration of, the scope of or any business activity covered by any provision of this Section 7 is in excess of what is determined to be valid and enforceable under applicable law, such provision shall be construed to cover only that duration, scope or activity that is determined to be valid and enforceable. Executive hereby acknowledges that this Section 7 shall be given the construction that renders its provisions valid and enforceable to the maximum extent, not exceeding its express terms, possible under applicable law.

  • AT&T-12STATE acknowledges that CLEC may have an embedded base of one-way trunks ordered and installed prior to the Effective Date of this Agreement that were used for termination of CLEC’s Section 251(b)(5)/IntraLATA Toll Traffic to AT&T-12STATE (Embedded Base). To the extent that CLEC has such an Embedded Base, CLEC shall only augment trunk groups in the Embedded Base with the mutual agreement of the Parties. CLEC shall not order any new one-way trunk groups following the Effective Date of this Agreement. Moreover, the Parties agree that the Embedded Base will be converted to two-way trunk groups under the following circumstances: 4.2.1.1 With reasonable notification from AT&T-12STATE and upon AT&T-12STATE’s request, CLEC shall convert all of its Embedded Base to two-way trunks. 4.2.1.2 At any time an Embedded Base trunk group (either originating or terminating) requires augmentation, AT&T-12STATE can require the associated originating and terminating trunks to be converted to a single two-way trunk group prior to the augmentation. 4.2.1.3 When any network changes are to be performed on a project basis (i.e., central office conversions, tandem re-homes, etc.), upon request and reasonable notice by AT&T-12STATE, CLEC will convert all of its Embedded Base affected by the project within the intervals and due dates required by the project parameters. 4.2.1.4 In addition to the foregoing, CLEC may choose, at any time, to convert its Embedded Base to two-way trunk groups. 4.2.1.5 The Parties will coordinate any trunk group migration, trunk group prioritization and implementation schedule. AT&T-12STATE agrees to develop a cutover plan within thirty (30) days of notification to CLEC of the need to convert pursuant to Section 4.2.1.1 above and Section 4.2.1.3 above.

  • Laws, Rules and Regulations You agree to comply with all existing and future operating procedures used by the Bank for processing of transactions. You further agree to comply with, and be bound by, all applicable state or federal laws, rules, regulations, orders, guidelines, operating circulars and pronouncements, affecting checks and drafts, including, but not limited to, all rules and procedural guidelines established by the Board of Governors of the Federal Reserve and the Electronic Check Clearing House Organization ("ECCHO") and any other clearinghouse or other organization in which Bank is a member or to which rules Bank has agreed to be bound. These procedures, rules, and regulations (collectively the "Rules") and laws are incorporated herein by reference.   • Notification of Laws and Regulations The Servicer shall immediately notify the Issuer, the Indenture Trustee and the Rating Agencies in writing if it becomes aware of any Requirements of Law or CPUC Regulations hereafter promulgated that have a material adverse effect on the Servicer’s ability to perform its duties under this Agreement.
