MINIMUM WAGE LAWS. 35 A. Pursuant to the United States of America Fair Labor Standards Act of 1938, as amended, and 36 State of California Labor Code, §1178.5, CONTRACTOR shall pay no less than the greater of the 37 federal or California Minimum Wage to all its employees that directly or indirectly provide services 1 pursuant to this Agreement, in any manner whatsoever. CONTRACTOR shall require and verify that 2 all its contractors or other persons providing services pursuant to this Agreement on behalf of 3 CONTRACTOR also pay their employees no less than the greater of the federal or California Minimum 4 Wage.

19 B. CONTRACTOR shall comply and verify that its Covered Individuals comply with all other 20 federal and State of California laws for minimum wage, overtime pay, record keeping, and child labor 21 standards pursuant to providing services pursuant to this Contract.
22 C. Notwithstanding the minimum wage requirements provided for in this clause, CONTRACTOR, 23 where applicable, shall comply with the prevailing wage and related requirements, as provided for in 24 accordance with the provisions of Article 2 of Chapter 1, Part 7, Division 2 of the Labor Code of the State 25 of California (§§1770, et seq.), as it now exists or may hereafter be amended. 26 27 XX. Except for any employees whose prevailing wage is required to be fixed pursuant to Section 220, et seq. and Section 230, et seq. of the New York State Labor Law, which employees shall be paid such prevailing wage, all persons employed by the Contractor or any subcontractor in the manufacture or furnishing of the supplies, materials, or equipment, or the furnishing of work, labor or services, used in the performance of this Contract, shall be paid, without subsequent deduction or rebate unless expressly authorized by law, not less than the minimum hourly rate required by law, unless a higher amount is required pursuant to any other provision of this Contract.
