Successors, Assigns and Subcontracting. 15.1 The Employer shall not subcontract, transfer, lease or assign, in whole or in part, to any other entity, person, firm, corporation, partnership, or non-unit work or workers, bargaining unit work presently performed or hereafter assigned to employees in the bargaining unit for purposes of circumventing the terms of this Agreement.
Successors, Assigns and Subcontracting. The benefits and obligations of this Agreement shall inure to and be binding upon the Parties hereto and their respective successors and assigns. The Authority’s or the Tribe’s consent shall not be required for Manager to assign or subcontract any of its rights interests or obligations as Manager hereunder to any parent, subsidiary or affiliate of Manager, or its successor corporation, provided that any such assignee or subcontractor agrees to be bound by the terms and conditions of this Agreement and provided they are licensed by the NIGC and the Gaming Commission. The acquisition of Manager or its parent company by a party other than the parent, subsidiary, or affiliate of Manager, or its successor corporation, shall not constitute an assignment of this Agreement by Manager and this Agreement shall remain in full force and effect between the Tribe, the Authority, and Manager, subject only to NIGC completion of its background investigation and licensure by the NIGC of the purchaser and licensure by the Gaming Commission. Other than as stated above, this Agreement may not be assigned or subcontracted by the Manager, without the approval by the Tribe, and the Chairman of the NIGC or his authorized representative after a complete background investigation of the proposed assignee. The Tribe shall, without the consent of the Manager, but subject to approval by the Chairman of the NIGC or his authorized representative if required, have the right to assign this Agreement and the assets of the Enterprise to an instrumentality of the Tribe, including the Authority, or to a corporation wholly owned by the Tribe organized to conduct the business of the Enterprise for the Tribe that assumes all obligations herein. Any assignment by either Party shall not prejudice the rights of the other Party under this Agreement. No assignment authorized hereunder shall be effective until all necessary government approvals have been obtained.

MBPI’s or the Authority’s prior written consent shall be required for MPM to assign any of its rights hereunder, and, if necessary, approval is received by the Secretary and/or the Interior or the Chairman of the NIGC and any such assignee agrees to be bound by the terms and conditions of this Agreement. MBPI shall, without the consent of MPM, but subject to approval by the Secretary of the Interior or the Chairman of the NIGC or his authorized representative, if required, have the right to assign this Agreement and the assets of the Enterprise to an instrumentality of MBPI, including the Authority, or to a corporation wholly owned by MBPI organized to conduct the business of the Enterprise for MBPI that assumes all obligations herein. Any assignment by MBPI shall not prejudice the rights of MPM under this Agreement. No assignment authorized hereunder shall be effective until all necessary governmental approvals have been obtained. Notwithstanding anything to the contrary contained herein, this Agreement may not be assigned or its gaming obligations subcontracted by MPM, without the approval of the Chairman of the NIGC or his authorized representative after a complete background investigation of the proposed assignee.

The Employer shall not subcontract, transfer, lease or assign, in whole or in part, to any other person, firm, corporation, partnership, or non-unit work or workers, bargaining unit work presently performed or hereafter assigned to employees in the bargaining unit, except to the extent required by government regulations regarding veteran, minority or female owned enterprises, in which event the Employer shall ensure that such enterprises employ bargaining unit employees under the wages and benefits provided under this Agreement. In the event an Employer is lawfully required by the Employer’s contract with a customer with respect to a single tenant site or a single tenant building regarding veteran, minority or female owned enterprises, the Employer shall ensure that such enterprises employ bargaining unit employees under all provisions of this Agreement.

Except as expressly provided otherwise herein, none of the Parties hereto may assign or subcontract its rights, responsibilities or duties under this Agreement. Any assignment or purported assignment made in violation of the foregoing will be void. Contracts entered into by the Manager on behalf of the Owner or Casino LLC (as expressly provided for in this Agreement) will not be deemed to be “subcontracting” for purposes of this Section 14.10. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns.

Except as expressly provided otherwise herein, none of the Parties hereto may assign or subcontract its rights, responsibilities or duties under this Agreement. Notwithstanding anything in the foregoing to the contrary, the rights, responsibilities and duties under this Agreement of the Enterprise, Travel Center Entity and the Ski Apache Entity may be assigned to another entity or entities that are chartered by the Tribe to conduct the business of the Businesses, and are wholly owned (indirectly or directly) by the Tribe, subject to all Legal Requirements; provided that each and every such assignee assumes in writing the obligations of the assignor hereunder; and further provided, that no such assignment may be made to the extent that, because of the suitability of the proposed assignee or assignees, this Agreement may be terminated, or the scope of Gaming at the Businesses (or other benefits to the Manager under this Agreement) would be materially diminished by virtue of such assignment. Any assignment or purported assignment made in violation of the foregoing will be void. Contracts entered into by the Manager on behalf of an Operating Company (as expressly provided for in this Agreement) will not be deemed to be “subcontracting” for purposes of this Section 19.13. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns.

Except for the right of Casino Tenant to assign this Agreement to the Facility Mortgagee and except as expressly provided otherwise herein, none of the Parties hereto may assign or subcontract its rights, responsibilities or duties under this Agreement. Any assignment or purported assignment made in violation of the foregoing will be void. Contracts entered into by the Manager on behalf of the Casino Tenant (as expressly provided for in this Agreement) will not be deemed to be “subcontracting” for purposes of this Section 14.11. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns. Manager hereby agrees to execute and deliver all agreements reasonably requested by Facility Mortgagee to affirm the right of Facility Mortgagee to succeed to Casino Tenant’s rights and obligations under this Agreement and the right of Facility Mortgagee to further assign this Agreement to a successor or assign.

KAR shall have the right to assign its rights under this Agreement and the Development Agreement only with the prior written consent of the Tribal Council, provided that such assignee or subcontractor has the competency and financial capability to perform as required by this Agreement. The acquisition of KAR by a party other than an Affiliate of KAR, or its successor corporation, shall not constitute an assignment of this Agreement by KAR and this Agreement shall remain in full force and effect between SHINGLE SPRINGS and KAR, subject only to legal Requirements. Other than stated above, this Agreement may not be assigned or its non-gaming obligation subcontracted by KAR, without the prior written approval of the Tribal Council and the written approval of the Chairperson of the NIGC or his authorized representative after a complete background investigation of the proposed assignee. SHINGLE SPRINGS shall, without the consent of KAR, have the right to assign this Agreement and the assets of the Enterprise to an instrumentality of SHINGLE SPRINGS or to a corporation wholly-owned by SHINGLE SPRINGS organized to conduct the business of the Enterprise for SHINGLE SPRINGS that assumes all obligations herein.

Manager shall have the right to assign its rights under this Agreement and the Development Agreement to one or more directly or indirectly wholly-owned subsidiaries of CASCADE ENTERTAINMENT GROUP, LLC, or its successor. The Tribe's and the Authority's consent shall be required for the assignment or subcontracting by the Manager of its rights, interests or obligations as Manager hereunder to any other Affiliate of Manager, or any successor corporation to Manager, provided that any such assignee or subcontractor agrees to be bound by the terms and conditions of this Agreement, and the Tribe and the Authority shall consent to any such assignee or subcontractor provided that such assignee or subcontractor has, in the discretion of the Tribe and the Authority, the competency and financial capability to perform as required by this Agreement. The acquisition of Manager or its parent company by a party other than an Affiliate of Manager, or its successor corporation, shall not constitute an assignment of this Agreement by Manager and this Agreement shall remain in full force and effect between the Tribe, the Authority, and Manager, subject only to Legal Requirements.

The Enterprise's consent shall be required for the assignment or subcontracting by Manager of its rights, interests or obligations as Manager hereunder to any person or entity other than an Affiliate of Manager, or any successor corporation to Manager, provided that any such assignee or subcontractor agrees to be bound by the terms and conditions of this Agreement, and the Enterprise shall consent to any such assignee or subcontractor provided that such assignee or subcontractor has, in the discretion of the Enterprise, the competency and financial capability to perform as required by this Agreement. The acquisition of Manager or its parent company by a party other than an Affiliate of Manager, or its successor corporation, shall not constitute an assignment of this Agreement by Manager and this Agreement shall remain in full force and effect between the Tribe, the Enterprise and Manager, subject only to Legal Requirements. In all respects, any assignment or subcontracting permitted pursuant to this Section 8.19 shall be subject to the notification requirements provided in Section 13.4 of this Agreement and any required approval by the NIGC.
