Supplier Rights. Within the Contract, the Supplier shall reserve the right to:-
(a) enhance or upgrade the Application without Notice;
(b) negotiate with the Customer, the billing term for the supply of Accounts;
(c) invoice the Customer, under this Framework Contract, for the quantity of Accounts ordered by the Customer;
(d) receive payment from the Customer, within the agreed term, for the delivery of any Order, placed by the Customer;
(e) receive payment in advance for the supply of Accounts;
(f) to receive payment of an invoice by means of electronic transfer;
(g) increase the Price, where any enhancement or any upgrade to the Application has been delivered;
(h) exclusively, to make an Offer;
(i) reject an Order by the Customer;
(j) to acquire and store statistics relating only to the Customer login activity and access to the digital tutorial material of the Supplier;
(k) to either implement or deny any enhancement or recommendation made by the Customer;
(l) to assign Customer integration support to a Third Party;
(m) to levy an hourly Fee for Customer integration support;
Supplier Rights. Supplier may immediately suspend Customer's access to the Service and/or terminate the Agreement by written notice if:
(a) Customer is in breach of any of its obligations, representations, or warranties under the Agreement; or
(b) Customer fails to pay an Invoice within 10 Business Days of the due date.
Supplier Rights. GWI acknowledges and agrees that, subject to the --------------- License Agreement (as defined in the Purchase Agreement), Supplier owns all rights in and to the Transferred Intellectual Property (as defined in the Purchase Agreement).
Supplier Rights. Within the Contract, the Supplier shall reserve the right to:-
(a) receive payment, from the Customer, prior to the delivery of the Service;
(b) demand, from the Customer, the payment of a deposit that shall:-
(i) be refundable or transferable in the event of cancellation on the part of the Supplier, and;
(ii) be non-refundable in the event of cancellation on the part of the Customer;
(c) receive payment of an invoice by means of electronic transfer;
(d) with-hold a Service where the Customer might not have fulfilled any obligation under a previous Contract;
(e) deliver the Service where no Purchase Order Number has been received from the Customer;
(f) amend the Service, where necessary, to comply with any applicable law, safety requirement, or where there shall be no material effect to the nature or quality of the Service;
(g) modify the Service where a technology supplier shall modify, or in any way alter its service, so that it might impact upon the Training;
(h) eject any Delegate from the Training Course who, in the opinion of the Supplier, shall perpetrate any unreasonable behaviour;
(i) deny attendance to any Delegate who has not settled the invoice of the Supplier prior to the commencement of the Service;
(j) assign or sub-contract its obligations or rights under the Contract to a competent Third Party, in whole or in part;
(k) cancel, a Service, without any other obligation, 30 days prior to the first day of delivery of the Service.
Supplier Rights. (a) The Supplier has the right to receive payment from the Customer prior to the delivery of the Service.
(b) The Supplier reserves the right to receive payment of an invoice by means of electronic transfer.
(c) The Supplier reserves the right to with-hold a Service where the Customer has not fulfilled any obligation under a previous Contract.
(d) The Supplier shall have the right to amend the Service where necessary to comply with any applicable law, safety requirement, or where there is no material effect to the nature or quality of the Service.
(e) The Supplier shall have the right to amend the Service where a technology supplier modifies, or in any way alters their service, so that it might impact upon the Training.
(f) The Supplier reserves the right to eject any Delegate from the Training Course who, in the opinion of the Supplier, perpetrates any unreasonable behaviour.
(g) The Supplier reserves the right to assign or sub-contract its obligations or rights under the Contract to a competent Third Party, in whole or in part.
(h) The Supplier reserves the right to be remunerated for the supply of a Classroom Training Unit (CTU), where the Parties have agreed that the Supplier shall provide a CTU to facilitate the delivery of the Service.
(i) Any contract for the supply of a CTU shall be set out in a separate contract with it's own terms and conditions, however;
(j) where a CTU is ordered by the Customer, the Supplier shall have the right to cancel the Service, without obligation, where the Supplier is not able to deliver the CTU because of a Force Majeur event.
(k) The Supplier has the right to be provided by the Customer with advance purchase of travel and accommodation for the Trainer, where the Service shall be delivered outside of of the UK.
(l) The Supplier has the right to cancel, a Service, without any other obligation, 30 calendar days prior to the first day of delivery of the Service.
Supplier Rights. Within this Framework Contract, the Supplier shall reserve the right to:-
(a) raise an invoice for the Service supplied to the Customer;
(b) receive consideration for the Service supplied to the Customer;
(c) increase the Fee where the Instruction shall be substantially amended;
(d) receive payment of an invoice by means of electronic transfer;
(e) reject an Instruction remitted by the Customer, on the condition that the rejection is in writing;
(f) amend the Service, where necessary to comply with current and enforceable legislation within the jurisdiction of the Supplier and the Customer, and;
(i) the Supplier shall notify the Customer in any such event;
(g) amend or limit the Services, where a technology supplier modifies, or in any way alters its service, upon which the Supplier might depend, and modify the delivery term in any such event;
(h) assign or sub-contract its obligations or rights under this Framework Contract to a Axeten Group company;
Supplier Rights. To the limited extent necessary to protect their respective interests, suppliers of third-party software code included in the Software and covered by this Agreement have third-party beneficiary status.

Supplier Rights. Supplier shall have the right to enter the Property at all reasonable times for purposes of farming the Property.
Supplier Rights. Purchaser acknowledges that Supplier is the sole owner of the Supplier Intellectual Property, except to the extent such information is in the public domain.
