Suspension of Purchases. The Purchaser shall suspend the purchase (and GMAC shall suspend the sale) of Receivables hereunder if either party shall receive notice at its principal corporate office that GMAC has become an involuntary party to (or has been made the subject of) any proceeding provided for by any insolvency, readjustment of debt, marshaling of assets and liabilities or similar proceedings of or relating to GMAC or relating to all or substantially all of its property (an “Involuntary Case”).

Suspension of Purchases. The Company acknowledges and agrees that Xxxxxx may suspend purchases under this Purchase Plan in the event that: 1. Broker determines that it is prohibited from purchasing Shares by a legal, contractual or regulatory restriction applicable to it or its affiliates or to the Company and its affiliates (other than any such restriction relating to the Company’s possession or alleged possession of material nonpublic information about the Company or the Shares). 2. Broker determines, in its sole discretion, that a market disruption has occurred, beyond the control of Broker that would materially interfere with Xxxxxx’s ability to carry out the terms of this Purchase Plan. 3. Trading in the Shares is halted or suspended. 4. If any purchases cannot be executed as required by this Purchase Plan due to any of the events specified in Sections (D)(1), (D)(2) or (D)(3), Broker shall effect such purchases as promptly as practicable after the cessation or termination of such disruption, applicable restriction or other event.

MSSB determines, in its sole discretion, that a market disruption has occurred, beyond the control of MSSB that would materially interfere with MSSB’s ability to carry out the terms of this Purchase Plan. 3. Trading in the Ordinary Shares is halted or suspended. 4. If any purchases cannot be executed as required by this Purchase Plan due to any of the events specified in Paragraphs (1), (2) or (3), MSSB shall effect such purchases as promptly as practicable after the cessation or termination of such disruption, applicable restriction or other event.

Suspension of Purchases. If the Seller, in its sole discretion, determines that it is appropriate with regard to any legal, regulatory or self-regulatory requirements or related policies and procedures (whether or not such requirements, policies or procedures are imposed by law or have been voluntarily adopted by the Seller) for the Seller to refrain from purchasing Common Stock on any Trading Day during the Averaging Period or any Seller Payment Share Purchase Period, the Seller (or its agent or affiliate) shall not purchase Common Stock hereunder on such Trading Day. If such Trading Day is during (i) the Averaging Period or (ii) any Seller Payment Share Purchase Period, the Seller shall notify the Purchaser of the exercise of the Seller’s rights pursuant to this Section 4.02(a) upon such exercise and shall subsequently notify the Purchaser on the day the Seller believes that the Seller may resume purchasing Common Stock. The Seller shall not be obligated to communicate to the Purchaser the reason for the Seller’s exercise of its rights pursuant to this Section 4.02(a).
Suspension of Purchases. (a) If the Seller, in its sole discretion, determines that it is appropriate with regard to any legal, regulatory or self-regulatory requirements or related policies and procedures (whether or not such requirements, policies or procedures are imposed by law or have been voluntarily adopted by the Seller) for the Seller to refrain from effecting transactions in Common Stock on any day that would otherwise be a Trading Day during the Averaging Period or any Seller Payment Share Purchase Period, the Seller (or its agent or affiliate) shall not effect transactions in shares of Common Stock hereunder on such Trading Day. If such Trading Day, is during (i) the Averaging Period or (ii) any Seller Payment Share Purchase Period, the Seller shall notify the Purchaser of the exercise of the Seller’s rights pursuant to this Section 4.02(a) upon such exercise and shall subsequently notify the Purchaser on the day the Seller believes that the Seller may resume purchasing or selling, as applicable, Common Stock. The Seller shall not be obligated to communicate to the Purchaser the reason for the Seller’s exercise of its rights pursuant to this Section 4.02(a). (b) The Purchaser agrees that, during the Contract Period or any Seller Payment Share Purchase Period, neither the Purchaser nor any of its affiliates or agents shall make any distribution (as defined in Regulation M) of Common Stock, or any security for which the Common Stock is a reference security (as defined in Regulation M) or take any other action that would, in the view of the Seller, preclude purchases by the Seller of the Common Stock or cause the Seller to violate any law, rule or regulation with respect to such purchases.
Suspension of Purchases. The Purchaser and the Sellers hereby agree that if on any Sales and Valuation Date the Equity Interest in the Purchaser is less than $10,000,000 no further purchases of Inventory shall occur under this Agreement until such time as the Equity Interest in the Purchaser shall exceed $20,000,000.
