System Purchase Option; Termination for Convenience. Lessor may‌ purchase the System and terminate this Agreement for convenience at any time after the anniversary of the Commercial Operation Date of the System installed under this Agreement, upon at least sixty (60) days’ prior written notice to Lessee; provided, that upon such termination the City shall pay Lessee the applicable Early Termination Price, as set forth in Exhibit D.

System Purchase Option; Termination for Convenience. Provided that no Host Default has then occurred and is continuing beyond any applicable cure period, Host may purchase the System and terminate this Agreement for convenience at any time after the tenth (10th) anniversary of the Commercial Operation Date upon at least sixty (60) days’ prior written notice to System Owner. Upon the payment of the Fair Market Value of the System in accordance with Section 2.4 and execution and delivery by System Owner to Host of a xxxx of sale for the System, (a) title to the System shall pass to Host, free and clear of any liens and encumbrances, and without warranties of any kind except as to title, (b) the remaining period on all third party warranties for the System, and the remaining term of all third party contracts regarding monitoring, operations and/or maintenance of the System, in each case to the extent transferable, will be transferred to Host, (c) all right title and interest in and to any Environmental Attributes created with respect to generation of electricity from the System on and after the date of such xxxx of sale shall accrue to and be vested in Host, and (d) this Agreement shall terminate automatically.

  • Termination for Convenience TIPS may, by written notice to Vendor, terminate this Agreement for convenience, in whole or in part, at any time by giving thirty (30) days’ written notice to Vendor of such termination, and specifying the effective date thereof.
