Taxes Assessments and Expenses. Landlord and Tenant acknowledge and agree that both parties intend that this Lease shall be and constitute a “triple net” or “absolute net” lease, such that Tenant shall be obligated hereunder to pay all costs and expenses incurred with respect to, and associated with, the Premises, including, without limitation, all taxes and assessments, utility charges, insurance costs, maintenance costs and repair, replacement and restoration expenses together with any and all other assessments, charges, costs and expenses of any kind or nature whatsoever related to, or associated with, the Premises. Notwithstanding the foregoing, Landlord shall be obligated to pay any debt service on any mortgage encumbering Landlord’s fee simple interest in the Premises and any assessments, fines, escrow or fees related to the design, engineering, and construction in connection with the Development Approvals and Improvements. Except as otherwise provided in this Lease, Landlord shall bear no cost or expense of any type or nature with respect to, or associated with, the Premises.

Taxes Assessments and Expenses a. The real estate tax pertaining to the Unit for the current calendar year shall be pro-rated between the SELLER and the BUYER according to their respective period of possession of the Unit within the said year to be reckoned from the date the Notice of Turnover is given by the SELLER to the BUYER. The BUYER agrees and binds himself to pay the real estate taxes and all other special taxes and/or assessments that may hereafter be levied on the Unit within the period prescribed by law. Should the BUYER fail and/or refuse to fulfill this undertaking, the SELLER may make the payments itself, but in such case, the latter has the right to collect from the BUYER the said amount it has so paid with interest of three percent (3 %) per month from the time said payments were made until the same is reimbursed by the BUYER, without prejudice to the right of the SELLER to effect cancellation as provided herein. The same rules shall apply to the proportionate share of the BUYER in the yearly real estate tax on the common areas and land of the Project.
Taxes Assessments and Expenses. The parties agree that the Real Estate taxes shall be not be prorated as of the Closing Date and each party assumes and agrees to pay all tax installments and assessments for public improvements becoming due after the Closing with respect to the Real Estate it is acquiring.   • Taxes and Expenses All taxes of any kind that may be assessed or levied against or in respect of the Fund and all brokerage commissions incurred by the Fund shall be paid from the Fund. All other expenses incurred by the Trustee in connection with the administration of this Trust, including fees for legal services rendered to the Trustee, the compensation of the Trustee to the extent not paid directly by the Grantor, and all other proper charges and disbursements of the Trustee shall be paid from the Fund.

  • Transfer Taxes and Expenses The issuance of certificates for shares of the Common Stock on conversion of this Note shall be made without charge to the Holder hereof for any documentary stamp or similar taxes that may be payable in respect of the issue or delivery of such certificates, provided that, the Company shall not be required to pay any tax that may be payable in respect of any transfer involved in the issuance and delivery of any such certificate upon conversion in a name other than that of the Holder of this Note so converted and the Company shall not be required to issue or deliver such certificates unless or until the Person or Persons requesting the issuance thereof shall have paid to the Company the amount of such tax or shall have established to the satisfaction of the Company that such tax has been paid.   • Taxes, Assessments and Liens Grantor will pay when due all taxes, assessments and liens upon the Collateral, its use or operation, upon this Agreement, upon any promissory note or notes evidencing the Indebtedness, or upon any of the other Related Documents. Grantor may withhold any such payment or may elect to contest any lien if Grantor is in good faith conducting an appropriate proceeding to contest the obligation to pay and so long as Lender's interest in the Collateral is not jeopardized in Lender's sole opinion. In any contest Grantor shall defend itself and Lender and shall satisfy any final adverse judgment before enforcement against the Collateral. Grantor shall name Lender as an additional obligee under any surety bond furnished in the contest proceedings.

  • Charges, Taxes and Expenses Issuance of Warrant Shares shall be made without charge to the Holder for any issue or transfer tax or other incidental expense in respect of the issuance of such Warrant Shares, all of which taxes and expenses shall be paid by the Company, and such Warrant Shares shall be issued in the name of the Holder or in such name or names as may be directed by the Holder; provided, however, that in the event that Warrant Shares are to be issued in a name other than the name of the Holder, this Warrant when surrendered for exercise shall be accompanied by the Assignment Form attached hereto duly executed by the Holder and the Company may require, as a condition thereto, the payment of a sum sufficient to reimburse it for any transfer tax incidental thereto.   • Revenues and Expenses All gross revenue and receipts derived from management of the Beverage Operations shall be the exclusive property of Licensee.
