Technical Know-How. DuPont shall provide Technical Know-how to Bioamber to clarify the technical information concerning Hydrogenation and the Technical Reports licensed pursuant to Section 2.1.1 and 2.1.2, as follows:
2.9.1. DuPont shall expend up to [***] person-days, tallied in [***] increments, making a good faith effort to provide answers to questionnaires submitted by Bioamber during the first twelve (12) months after the Effective Date, provided that a. such responses do not require DuPont to violate an obligation it has to any Third Party (such Third Parties to include without limitation, [***]) with respect to information Bioamber desires to be included in such response, and
Technical Know-How. Distributor represents that it has the necessary experience, know-how and personnel to enable it to comply with all applicable Laws governing the sale of the Product in the Territory.
Technical Know-How. With reasonable advance notice, SRI agrees to cooperate with, and provide technical assistance to, LSI after the conclusion of the Development Program as needed to permit LSI to make, use, sell, test or commercialize the Development Program Intellectual Property. LSI shall compensate SRI at SRI's normal commercial rates for such assistance.
Technical Know-How. Ipsen represents that Ipsen and its Affiliates has the necessary experience, know-how and personnel to enable it to comply with all applicable laws governing the sale of the Product in the Territory.
Technical Know-How. All proprietary and other technical information and technology (“Technical Know-how”) owned by Seller related exclusively to the Business (including research and development in progress), including inventions and discoveries, data sheets, protocols, improvements, processes, know-how, formulae, drawings, specifications, production data, trade secrets, plans, files, notebooks and other records and documents pertaining to research and development;
Technical Know-How. 2.1 DRDO shall transfer the complete details of the technical know-how and testing method for quality assurance to XYZ with protocols and data on the functioning of the product.
Technical Know-How. DIAT shall transfer the complete details of the technical know-how and testing method for quality assurance to Xxxxxxxx Chemicals with requisite data on the functioning of the product.
Technical Know-How. 8.1 Promptly after the execution of this Agreement, and during the first five (5) years of the term of this Agreement, SKI shall disclose and furnish to PDL all Technical Information and Know-How which is requested by PDL and which is known or possessed by SKI or any of its Affiliates; provided, however, that SKI shall not be obligated to disclose any such information after the execution of this Agreement from a third party pursuant to a written agreement which prohibits the disclosure thereof.
8.2 During the first five (5) years of the term of this Agreement, subject to any restrictions imposed upon PDL by a Corporate Partner, PDL shall disclose and furnish to SKI (for use in its research programs only) Technical Information and Know-How relevant to the clinical use of the Product which is requested by SKI and which is known or possessed by PDL or any of its Affiliates; provided, however, that PDL shall not be obligated to disclose any such information acquired after the execution of this Agreement from a third party pursuant to a written agreement which prohibits the disclosure thereof.
8.3 Each of the parties, for itself and its Affiliates, undertakes during the term of this Agreement, to hold in confidence and not to disclose the Technical Information and Know-How received from the other (a) in the case of PDL, to any third party, and (b) in the case of SKI, to any person other than Dx. Xxxxx Xxxxxxxxxx or personnel under his supervision and then such disclosure may be made only while such persons are associated with SKI or its Affiliates; provided that such undertaking shall not apply to any portion of said Technical Information and Know-How which: (i) was known to the receiving party or any of its Affiliates prior to its receipt by the receiving party or any of its Affiliates hereunder; (ii) is received at any time by the receiving party or any of its Affiliates in good faith from a third party lawfully in possession of the same and having the right to disclose the same; (iii) is as of the date of the receipt by the receiving party or any of its Affiliates in the public domain or subsequently enters the public domain other than by reason of acts or omissions of the employees or agents of the receiving party or any of its Affiliates; and provided further that nothing contained herein shall prevent PDL or any of its Affiliates from using and disclosing the Technical Information and Know- How received from SKI in connection with applying for and securin...
Technical Know-How. For mutually agreeable compensation, XXXXXXXX agrees to cooperate with, and provide technical assistance to, REMEDENT after the conclusion of the Development Program as needed to permit REMEDENT to make, use, sell, test or commercialize the Development Program Intellectual Property.
Technical Know-How. Technical Know-How means all recorded and unrecorded information and knowledge maintained as trade secrets relating to the design, development or production of an article including, but not limited to, specific application of the knowledge gained from experience in the design, development, or production of an article that is necessary or helpful in interpreting, applying or interrelating Technical Data, Computer Software, or other Intellectual Property relating to an article.
