Term; Termination for Convenience. This Agreement will commence on the Effective Date and remain in effect until terminated by either party in accordance with the terms hereof. Subject to the terms of any Price Schedule, either party may terminate this Agreement or any Service upon ninety (90) days’ prior written notice to the other party (except as otherwise set forth in any Annex herein). In the event Client does not provide ADP with the proper notice as set forth in the previous sentence, Client shall pay ADP for any fees for Services that would have been incurred by Client during such notice period (calculated based on an average of the prior six months of invoices for such terminated Services, or shorter period of time if there has been less than six months of invoices).

This Agreement shall take effect on the date it is executed by Softbridge and shall continue in effect for one year, and thereafter from year to year, unless and until terminated by Customer on thirty (30) days prior written notice, by Softbridge for noncompliance with any of the terms of this Agreement by Customer, or at any time, by mutual written agreement of the parties.

Term; Termination for Convenience. The beginning of the term of this Agreement shall be the earlier of: (i) the installation of a Product on the vessel/vehicle/asset described in the Letter Agreement, and (ii) your execution of the Letter Agreement and review and agreement to this Agreement through the App (or through addendum to the Letter Agreement) (the “Commencement Date”). The initial term of this Agreement shall be the initial term described in the Letter Agreement, or 36 months following the Commencement Date if no initial term is described in the Letter Agreement. This Agreement shall automatically renew for a successive 12 month period at the end of the initial term, and at the end of each successive renewal term, unless terminated in writing at least 60 days prior to the end of the then current term. The initial term and each successive term constitutes the “Term”. You may terminate this Agreement at any time by: (i) providing the Company at least 30 days written notice, (ii) returning all Product to the Company in good, working condition, (iii) and paying the Company an amount specified in the Letter Agreement mutually agreed to by both parties, and
Term; Termination for Convenience. The initial term of this lease shall be for a period that shall commence on August 5, 2020, and continue until August 4, 2025, the expiration date. Either Landlord or Tenant may terminate this lease at the expiration of the initial term by giving written notice to the other at least one-year prior to the expiration date. The Tenant shall have the option to renew this lease under the same terms for an additional five (5) years by providing written notice at least six (6) months prior to the expiration date. In the event that neither party acts to terminate this lease as of the end of the initial term, then this lease shall continue on a year-to-year basis until terminated by either party giving a one-year written notice prior to the last day of the then current year term. Either party may terminate the lease at any time by giving the other party at least a one-year notice.
