Terminal Maintenance Program. A. (a) During the term of this Merchant Agreement, and provided Merchant is not delinquent in respect of any obligation hereunder, NUVEI shall repair or replace, at its option, all defective terminals sold or leased to Merchant (“TMP”). Replacement terminals may be manufactured from new or refurbished parts; all such replacements will be functional equivalents of the replaced terminal. Merchant is responsible for ensuring that terminal is properly packaged and bears the full risk of loss or damage for any terminal that is returned improperly packaged. Replacements are limited to no more than three terminals during any consecutive twelve-month period. (b) To receive TMP services, Merchant must (i) return the defective terminal to NUVEI no later than three days from discovering the defect; (ii) provide its identification number and terminal serial number; (iii) describe the symptoms and causes of terminal problems to NUVEI; and (iv) follow NUVEI’s instructions. Replaced terminals become NUVEI’s property. Failure to return any replaced terminal within the aforementioned three-day period will result in a charge of $1,200 per terminal. All shipping costs shall be borne by Merchant. (c) TMP does not cover (i) lost or stolen terminals; (ii) damage caused by abuse, neglect, misuse (including, faulty installation, repair or maintenance by anyone other than NUVEI); (iii) unauthorized modifications, use of incompatible devices or accessories, extreme ambient environments, physical stress, fluctuation or surges of electrical power, electrical or magnetic interference, lightning, static electricity, fire, acts of God or other external causes; (iv) equipment with serial numbers that have been altered, defaced or removed; (v) cosmetic damage having no effect on functionality; (vi) damage to or loss of software or data; (vii) consumable parts, such as batteries; or (viii) preventive maintenance. The TMP shall automatically terminate in the event Merchant ceases processing for 30 consecutive days.

  • Maintenance Programme 17.4.1 On or before COD and no later than 45 (forty five) days prior to the beginning of each Accounting Year during the Operation Period, as the case may be, the Concessionaire shall provide to the Authority and the Independent Engineer, its proposed annual programme of preventive, urgent and other scheduled maintenance (the “Maintenance Programme”) to comply with the Maintenance Requirements, Maintenance Manual and Safety Requirements. Such Maintenance Programme shall include:

  • Equipment Maintenance If this Contract involves computer or telecommunications hardware or other mechanical or electrical Equipment (use of the word "Equipment" means all the foregoing) as a Deliverable, then, during the warranty period and during any period covered by annual maintenance, the Contractor will provide Equipment maintenance to keep the Equipment in or restore the Equipment to good working order. This maintenance will include preventative and remedial maintenance, installation of safety changes, and installation of engineering changes based upon the specific needs of the individual item of Equipment. This maintenance will also include the repair, replacement, or exchange deemed necessary to keep the Equipment in good working order. For purposes of this Contract, Equipment restored to good working condition means Equipment that performs in accordance with the manufacturer's published specifications. The Contractor will exert its best efforts to perform all fault isolation and problem determination attributed to the Equipment covered under this Contract. The following services are outside the scope of this Contract:

  • Maintenance Plan Maintenance plan for the Project Facility for the next quarter and a report on maintenance carried out during the previous quarter (including any material deviation from expected maintenance activities as set out in the maintenance plan).

  • Maintenance Scheduling The NTO shall schedule maintenance of its facilities designated as NTO Transmission Facilities Under ISO Operational Control and schedule any outages (other than forced transmission outages) of said transmission system facilities in accordance with outage schedules approved by the ISO. The NTO shall comply with maintenance schedules coordinated by the ISO, pursuant to this Agreement, for NTO Transmission Facilities Under ISO Operational Control. The NTO shall be responsible for providing notification of maintenance schedules to the ISO for NTO Transmission Facilities Requiring ISO Notification. The NTO shall provide notification of maintenance schedules to affected Transmission Owners for NTO Transmission Facilities Requiring ISO Notification and Local Area Transmission Facilities pursuant to Section 3.5.3 of the ISO Services Tariff.

  • System Maintenance The Trust understands that USBFS will perform periodic maintenance to the System(s), which may cause temporary service interruptions. To the extent possible, USBFS shall notify the Trust of all planned outages and will perform any necessary maintenance during non-business hours.

  • Operating and Maintenance Manuals 58.1 If “as built” Drawings and/or operating and maintenance manuals are required, the Contractor shall supply them by the dates stated in the Contract Data.

  • Emergency Maintenance LightEdge reserves the right to perform emergency Service maintenance as needed outside the Scheduled Maintenance window, in which case LightEdge will make a reasonable effort to notify the Customer if feasible under the circumstances.
