If PHMD submits any such an alleged default to arbitration, then PHMD shall have the burden of proof. In case of termination or rescission of this Agreement or nullification of Related Agreements held by the Escrow Agent under Section 3.1.2, PHMD shall immediately return to XXXXX all technology relating to the Licensed Product (including vendor agreements, manufacturing processing instructions and related files, and quality system documentation), the pre-production Prototypes of the Licensed Product together with related documentation, all tangible and intangible assets, all documents and deliveries of XXXXX related to the Licensed Product, all Related Documents, as well as the documents evidencing attainment of Milestones delivered by XXXXX to PHMD.
