Termination of Relationships. Xxxxxx Xxx reserves the right to immediately suspend or terminate any relationship established between Licensee and a third party by and for the Licensed Application at any time, at its sole discretion.
Termination of Relationships. As of the date hereof, neither the Company nor any of its Subsidiaries has received any notice since June 30, 2000, and no other notice is pending, that any Fund or any other Person to whom the Company or any of its Subsidiaries renders investment management or investment advisory services that individually or in the aggregate are material to the business of the Company is terminating or is planning to terminate its relationship with the Company and/or any of its Subsidiaries or will reduce materially its use of the services of the Company and any of its Subsidiaries. As of the date hereof, the Company has no Knowledge that any Fund or any other Person to whom the Company or any of its Subsidiaries renders investment management or investment advisory services that individually or in the aggregate are material to the business of the Company plans to terminate its relationship with the Company and/or any of its Subsidiaries or plans to reduce materially its use of the services of the Company and any of its Subsidiaries. For the purposes of this Section 4.1(u), each of the Funds will be deemed to be material to the business of the Company and its Subsidiaries.
Termination of Relationships. Each Cardiff Party understands and agrees that (a) all relationships and agreements, written or oral, of any kind whatsoever (including the Support Services Agreement, the Advisory Agreement and the Employment Agreement) between any Cardiff Party (or their affiliates) and the Company (or its affiliates) are hereby terminated, (b) none of Xxxxxxx, Xxxxx and Xxxx is any longer an officer or director or, or adviser or consultant to, the Company or any of its affiliates, and (c) neither any Cardiff Party nor any of their affiliates is entitled to any compensation or benefits of any kind from the Company or any of its affiliates for any services rendered or expenses incurred.
Termination of Relationships. USMX and Xxxxxxx have agreed upon Xxxxxxx'x resignation from his positions as an officer of USMX and as an officer or director of any of the USMX Companies, as an employee of USMX and the USMX Companies and in any other capacity with USMX and the USMX Companies, such resignations to be effective March 31, 1997.
Termination of Relationships. Xxxxxxx and USMX acknowledge that any employment or contractual relationship between them has terminated and that they have no further employment or contractual relationship except as may arise out of this Agreement and that Xxxxxxx waives any right or claim to reinstatement as an employee of USMX and will not seek employment in the future with any of the USMX Companies.
Termination of Relationships. Employee and Company have mutually separated and Employee has resigned his position and at-will employment relationship with the Company effective December 8, 2023 (the “Separation Date”), and the Company has accepted that resignation. Employee has resigned as a member of the Company’s board of directors effective as of the Separation Date. Employee acknowledges that his resignation is not the result of a disagreement with the Company or the Board, or any matter relating to the Company’s operations, policies or practices.
Termination of Relationships. As of the date hereof, no Darby Company or Sponsored Darby Fund has received any notice thax xxx Fund to whom any Darby Xxxxany currently renders investment management or investmexx xxvisory services is terminating or is planning to terminate its relationship with any Darby Company or will reduce materially its use of the services ox xxx Darby Company. As of the date hereof, the Darby Companies have no Xxxxxedge that any Darby Fund plans to terxxxxxe its relationship with any Darby Cxxxxxy or plans to reduce materially its use of the servicex xx any Darby Company.

USMX and Bellum have agreed upon Bellum's resignation from his positions as President and Chief Executive Officer, Chairman of the Board of Directors and Director of USMX and each of the USMX Companies, as an employee of USMX and the USMX Companies and in any other capacity with USMX and the USMX Companies, such resignations to be effective March 31, 1997.
Termination of Relationships. Bellum and USMX acknowledge that any employment or contractual relationship between them has terminated and that they have no further employment or contractual relationship except as may arise out of this Agreement and that Bellum waives any right or claim to reinstatement as an employee of USMX and will not seek employment in the future with any of the USMX Companies.
Termination of Relationships. All agreements, arrangements and understandings between or among any one or more of the VL Parties and any one or more of the COF Parties, whether oral or written, express or implied, executory or nonexecutory, and expressly including but not limited to the Transactions (and each and all of the written contracts identified in the "Background Information" above), shall be, and hereby are, rescinded, voided, terminated and of no further force or effect.
