Termination/Suspension for Cause. The Grantee may suspend or terminate this Agreement, in whole or in part, upon 30 days’ prior written notice, whenever it determines that the Subrecipient has failed to comply with any term, condition, requirement, or provision of this Agreement. Failure to comply with any terms of this Agreement, include (but are not limited to) the following:
1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time;
2. Failure, for any reason, of the Subrecipient to fulfill in a timely and proper manner its obligations under this Agreement including the Timeliness Standards and Guidelines listed below;
a) Clearance of all Grant Award conditions within six (6) months of grant award;
b) Start of construction activities no later than nine (9) months after grant award; and
c) Draw down of all funds within thirty-six (36) months of grant award.
3. Ineffective or improper use of Grant Funds as provided under this Agreement; or
4. Submission by the Subrecipient to the Grantee reports that are incorrect or incomplete in any material respect. Notwithstanding anything hereinabove to the contrary, Xxxxxxx agrees that it shall not exercise its right to suspend or terminate this Agreement until it shall have given written notice to the Subrecipient of the alleged non-compliance and has given the Subrecipient a reasonable amount of time to correct and/or cure the alleged non-compliance. All termination notices given hereunder shall set forth in reasonable detail the reasons for such termination, the date on which such termination shall become effective, and, in the case of partial termination, the provisions of this Agreement that are to be terminated. If, in the case of a partial termination, the State in its sole discretion determines that the remaining portion of the award of the Project funds contemplated herein will not accomplish the purpose for which such award was made, the State may terminate this Agreement in its entirety. The Grantee shall promptly notify the Subrecipient, in writing, of its determination and the reasons for the termination together with the date on which the termination shall take effect and any other notifications required under 2 CFR part 200, subpart D. Termination/Suspension for Cause. The Institute may terminate this Subaward for cause based upon the failure of Subrecipient to comply with the terms and/or conditions of the Subaward; provided that the Institute shall give Subrecipient written notice specifying Subrecipient’s failure. If within thirty (30) days after receipt of such notice, Subrecipient has not either corrected such failure or, in case of failure which cannot be corrected in thirty (30) days, begun in good faith to correct said failure and thereafter proceeded diligently to complete such correction, then Institute may, at its option, place Subrecipient in default and the Subaward shall terminate on the date specified in such notice. Subrecipient may exercise any rights available to it under Louisiana law to terminate for cause upon the failure of the Institute to comply with the terms and conditions of this Subaward; provided that Subrecipient shall give the Institute written notice specifying the Institute’s failure and a reasonable opportunity for the Institute to cure the defect. In the event that a Party elects to terminate this Subaward pursuant to this Article, the Parties agree to participate in a final cost accounting as of the date of termination and in accordance with the terms and conditions herein. The obligations under this Article shall survive termination or expiration of this Subaward for any reason.

The OCD may, after giving reasonable written notice specifying the effective date, suspend or terminate this Agreement in whole or in part if the Grantee materially fails to comply with any terms of this Agreement, which shall include, but not be limited, to the following:
1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may be applicable at any time;
2. Failure, for any reason, of Grantee to fulfill in a timely and proper manner the obligations under this Agreement;
3. Submission by Grantee of reports to the OCD, HUD, or either of their auditors of reports that are incorrect or incomplete in any material respect, provided Grantee is given notice of said failure and fails to correct the same within a reasonable amount of time; or
4. Ineffective or improper use of funds as provided for under this Agreement.

Notwithstanding any other provision of this Agreement, the Authority may, after giving reasonable written notice specifying the effective date, may suspend or terminate this Agreement in whole or in part if SELLER materially fails to comply with any material term of this Agreement, which shall include, but not be limited, to the following:
i. The violation of any of the material terms or conditions of this Agreement.

The OCD/DRU may, after giving reasonable written notice specifying the effective date, suspend or terminate this Agreement in whole or in part if Consultant materially fails to comply with any term of this Agreement, which shall include, but not be limited, to the following:
1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may be applicable at any time;
2. Failure, for any reason, of Consultant to fulfill in a timely and proper manner the obligations under this Agreement;
3. Submission by Consultant of reports to the OCD/DRU, HUD or their auditors, reports that are incorrect or incomplete in any material respect, provided Contractor is given notice of said failure and fails to correct the same within a reasonable amount of time; or
4. Ineffective or improper use of funds as provided for under this Agreement. If, through any cause, Consultant shall otherwise fail to fulfill in a timely and proper manner, its obligations under this Agreement, or if Consultant shall violate any of the covenants, agreements, or stipulations of this Agreement, the OCD/DRU shall thereupon have the right to terminate this Agreement by giving written notice to Consultant of such termination and specifying the effective date thereof, at least thirty (30) days prior to the effective date of said termination. Consultant shall be paid for all authorized Services properly performed prior to termination.
Termination/Suspension for Cause. The VIHFA may, suspend or terminate this Agreement, in whole or in part, upon thirty (30) days advance written notice specifying the date of suspension or termination, if the SUBRECIPIENT materially fails to comply with any term of this Agreement, which shall include, but not be limited, to the following:
1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may be applicable at any time;
2. Failure, for any reason, of the SUBRECIPIENT to fulfill in a timely and proper manner the material obligations under this Agreement;
3. Submission of incorrect or incomplete reports to VIHFA, HUD, or their auditors, in any material respect as determined by VIHFA, HUD or their auditors;
Termination/Suspension for Cause. The Water Institute may, after giving reasonable written notice specifying the effective date, suspend or terminate this Agreement in whole or in part if the Subcontractor materially fails to comply with any term of this Agreement, which shall include, but not be limited, to the following:
1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may be applicable at any time;
2. Failure, for any reason, of Subcontractor to fulfill in a timely and proper manner the obligations under this Agreement;
3. Submission by Subcontractor of reports to The Water Institute, the OCD, HUD, or either of their auditors, reports that are incorrect or incomplete in any material respect, provided Subcontractor is given notice of said failure and fails to correct the same within a reasonable amount of time; or
4. Ineffective or improper use of funds as provided for under this Agreement.
