The parties hereto expressly agree that the Application sets forth the overall goals, standards and general operational policies of CHARTER SCHOOL, and that the Application is not a complete statement of each detail of CHARTER SCHOOL’s operation. To the extent CHARTER SCHOOL desires to implement specific policies, procedures, or other specific terms of operation that supplement or otherwise differ from those set forth in the Application, CHARTER SCHOOL shall be permitted to implement such policies, procedures, and specific terms of operation, provided that such policies, procedures, and specific terms of operation are consistent with the goals, standards and general operational policies set forth in the Application, this Agreement, and the Act, and provided that such policies, procedures, and specific terms of operation (a) are not otherwise prohibited or circumscribed by applicable law or this Agreement, or (b) are not materially different from those set forth in this Agreement and the Application. To the extent there is a conflict between the terms of this Agreement and the Application, the terms of this Agreement shall govern.

Terms and Conditions of Application and effectiveness of this warranty This warranty does not apply i) to a Product which has been repaired, disassembled, manipulated and/or modified in any way (even with reference to its design) by persons not authorized by Cortem; ii) a Product which is in continuous operation (i.e., that is not turned off during daytime) and/or which is in operation for more than 4,000 hours per year; (iii) to a Product that has been used or applied to systems that have been used not in accordance with the agreed specifications or if the power supplied to any of the products exceed the rate tolerance; (iv) if any external device creates conditions exceeding the maximum rate tolerance of the Product or affects its functions; v) to a Product the warranty seal, serial number or any tags/labels of which was removed and/or tampered and/or damaged; or (vi) to a Product that has not been adequately warehoused or upkept. This warranty shall be effective and apply only in respect of a Product the price of which had been duly paid pursuant to terms and conditions set forth by Cortem. This warranty only applies when a Product and/or a component of the same has been properly wired, installed and used in accordance with its specifications, installation and operative instructions, application guidelines, standards and/or any other document accompanying the Product itself. This warranty applies only in respect of the first installation of a Product and shall not apply for any subsequent installation thereto. The Product must be used within the specified electrical values, operating range and appropriate environmental conditions. This warranty does not apply to any non-standard use or stress of the Product, including, but not limited to, under/over voltage conditions, excessive switching cycles or operating hours, any use in violation of or non-compliant with any applicable standard, code or instruction by the Purchaser or its agents, employees, consultants and/or representatives. This warranty does not cover consumables and/or any batteries, light bulbs or any other electrical component subject to wear that can be assimilated to consumables, nor does it cover any control devices such as, but not limited to, occupancy sensors, photocontrollers or photocells. The Board, in its sole discretion, shall decide whether to grant any waiver(s) requested by XxXX.
