The Launch. The Transaction Documents (other than this Agreement and the Articles) shall become effective (the “Launch”, and such time, the “Launch Time”) on a date to be specified by SKHYSI and Cypress, which shall be no later than the third Business Day following the satisfaction or (to the extent permitted by Applicable Law) waiver by the Party or Parties entitled to the benefits thereof of the conditions set forth in Section 3.4 (other than those conditions that by their nature are to be satisfied at the Launch, but subject to the satisfaction or (to the extent permitted by Applicable Law) waiver of those conditions), or at such other place, time and date as may be agreed in writing between SKHYSI and Cypress. As soon as practicable following the Launch Time, each Party shall receive one original of each of the fully executed Transaction Documents.

The Launch. The parties intend that the Launch of the Good Sxx Insurance Agency shall occur no later than January 1, 2012. In connection with the Launch, the Good Sxx Insurance Agency shall be responsible for (a) obtaining all licenses and permits as are required to sell, solicit and negotiate Insurance and Insurance Products in all 50 states and the District of Columbia, and (b) entering into appropriate agreements with each of the Carriers and the GMACI Carrier no later than August 31, 2011. In the event that the Good Sxx Insurance Agency is unable to enter into the aforementioned agreements with the Carriers by August 31, 2011, the parties shall mutually agree upon a new date for the Launch. The GMACI Agency shall be responsible for ensuring that the call center, sales process and customer service functions for the Good Sxx Insurance Agency are fully operational by the Launch. If the Launch has not occurred by January 1, 2012, the GMACI Agency shall pay * CERTAIN INFORMATION HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. CONFIDENTIAL TREATMENT HAS BEEN REQUESTED WITH RESPECT TO THE OMITTED PORTIONS.   • Marketing Plan The Contractor shall have a Marketing Plan, that has been prior-approved by the SDOH and/or LDSS, that describes the Marketing activities the Contractor will undertake within the local district during the term of this Agreement. The Marketing Plan shall be kept on file in the offices of the Contractor, LDSS, and the SDOH.   • Commercialization Plan On a Product by Product basis, not later than sixty (60) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory, the MSC shall prepare and approve a rolling multiyear (not less than three (3) years) plan for Commercializing such Product in the Copromotion Territory (the "Copromotion Territory Commercialization Plan"), which plan includes a comprehensive market development, marketing, sales, supply and distribution strategy for such Product in the Copromotion Territory. The Copromotion Territory Commercialization Plan shall be updated by the MSC at least once each calendar year such that it addresses no less than the three (3) upcoming years. Not later than thirty (30) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory and thereafter on or before September 30 of each calendar year, the MSC shall prepare an annual commercialization plan and budget (the "Annual Commercialization Plan and Budget"), which plan is based on the then current Copromotion Territory Commercialization Plan and includes a comprehensive market development, marketing, sales, supply and distribution strategy, including an overall budget for anticipated marketing, promotion and sales efforts in the upcoming calendar year (the first such Annual Development Plan and Budget shall cover the remainder of the calendar year in which such Product is anticipated to be approved plus the first full calendar year thereafter). The Annual Commercialization Plan and Budget will specify which Target Markets and distribution channels each Party shall devote its respective Promotion efforts towards, the personnel and other resources to be devoted by each Party to such efforts, the number and positioning of Details to be performed by each Party, as well as market and sales forecasts and related operating expenses, for the Product in each country of the Copromotion Territory, and budgets for projected Pre-Marketing Expenses, Sales and Marketing Expenses and Post-Approval Research and Regulatory Expenses. In preparing and updating the Copromotion Territory Commercialization Plan and each Annual Commercialization Plan and Budget, the MSC will take into consideration factors such as market conditions, regulatory issues and competition.

  • Milestones Licensee agrees to use commercially reasonable efforts to meet the milestones as detailed in Schedule 3. In the event that Licensee does not use commercially reasonable efforts to meet any of the milestones, University may at its discretion elect to terminate the licence granted under Clause 2.1 with respect to the relevant Milestones of this Agreement pursuant to Paragraph 7 of Standard Terms and Conditions. No indulgence given by University on any particular occasion shall be deemed or construed as a waiver of its right to terminate this Agreement on future occasions.
