Time; Date; Location. Settlement for the purchase of Shares by eVS or by a Stockholder pursuant to the provisions of Article 2, shall be made within thirty (30) days following the date of exercise of the last option exercised. All settlements for the purchase and sale of Shares shall, unless otherwise agreed to by all of the purchasers and sellers, be held at the principal executive offices of eVS during regular business hours. The precise date and hour of settlement shall be fixed by the purchaser or purchasers (within the time limits proscribed in this Agreement), or in the event the purchasers fail to agree, by the President of eVS, by notice in writing to the seller given at least five (5) days in advance of the settlement date specified.

Time; Date; Location. Unless otherwise specified in this Agreement, all payments under this Agreement shall be made (1) not later than 1:00 p.m. (New York City time) on the date specified therefor in lawful money of the United States of America in same day funds, (2) if to the Seller or DFC, to the bank account designated in writing by the Seller or DFC to the Issuer and (3) if to the Issuer, to the bank account designated in writing by the Issuer to the Seller. Accordingly, wherever practical to do so, new installations, or the rebuild of existing installations, will be designed accordingly.

  • Service Locations X.X. Xxxxxx maintains various operational/service centers and locations through the United States and foreign jurisdictions. The services provided under this Agreement may be provided from one or more such locations. X.X. Xxxxxx may change the operational/service centers and locations as it deems necessary or appropriate for its business concerns.
