27.6.4 a copy of the Sub-Contract (with any information identified as commercially sensitive in accordance with such Sub-Contract redacted) and comply with the requirements in Schedule 5 (Supply Chain Visibility).

Our entitlement to rights and duties to perform obligations transferred will cease and be replaced by the entitlements and duties of the transferee from the date we notify you, or such later date as we specify. If you are a body corporate or other non-personal entity, and your ownership, management or control changes, you must notify us promptly, and seek our consent to your authorisation agreement continuing. You may not transfer this agreement or any benefit or obligation of it to another person. If you are a business and your management or control is altered without our written consent, then this will be treated by us as a transfer of this agreement entitling us to end it.

27.2 Subject to Schedule 27 (Key Subcontractors), the Supplier cannot sub- contract this Contract or any part of it without the Buyer’s prior written consent. The Supplier shall provide the Buyer with information about the Subcontractor as it reasonably requests. The decision of the Buyer to consent or not will not be unreasonably withheld or delayed. If the Buyer does not communicate a decision to the Supplier within ten (10) Working Days of the request for consent then its consent will be deemed to have been given. The Buyer may reasonably withhold its consent to the appointment of a Subcontractor if it considers that:
27.2.1 the appointment of a proposed Subcontractor may prejudice the provision of the Deliverables or may be contrary to its interests;
27.2.2 the proposed Subcontractor is unreliable and/or has not provided reliable goods and or reasonable services to its other customers; and/or
27.2.3 the proposed Subcontractor employs unfit persons.

8.1.1 These Terms are personal to you and you may not transfer or assign rights and obligations to any third party.
8.1.2 Wealthify may assign or transfer its rights and obligations under the Agreement to any affiliate or to any successor business. If this occurs, you will be notified by email and / or Wealthify Messages. Where we do this, you authorise us to transfer any of your money/assets held by us or on our behalf to the third party, or someone nominated by that person. We will only transfer your money and/or assets to another person who we believe will hold them under the FCA Rules or in respect of whom we have exercised all required due skill, care and diligence in assessing whether that person will apply adequate measures to protect it. Where we intend to do this, we will give you at least ten Business Days prior written notice.
8.1.3 If you object to such an assignment, you may terminate these Terms and close your account with us in accordance with these terms.
