Transferring responsibilities. We may transfer the whole or parts of our rights and obligations under this agreement to another person. We will tell you if we do this. Our entitlement to rights and duties to perform obligations transferred will cease and be replaced by the entitlements and duties of the transferee from the date we notify you, or such later date as we specify. If you are a body corporate or other non-personal entity, and your ownership, management or control changes, you must notify us promptly, and seek our consent to your authorisation agreement continuing. You may not transfer this agreement or any benefit or obligation of it to another person. If you are a business and your management or control is altered without our written consent, then this will be treated by us as a transfer of this agreement entitling us to end it.

CCS can assign, novate or transfer its LVPS Contract or any part of it to any Central Government Body, public or private sector body which performs the functions of CCS. When CCS uses its rights under clause 23.2 the Supplier must enter into a novation agreement in the form that CCS specifies. The Supplier can terminate the LVPS Contract if it is novated under clause 23.2 to a private sector body that is experiencing an Insolvency Event. The Supplier remains responsible for all acts and omissions of the Supplier Staff as if they were its own. If CCS asks the Supplier for details about subcontractors, the Supplier must provide details of subcontractors at all levels of the supply chain including: their name; the scope of their appointment; and the duration of their appointment. CHANGING THE LVPS CONTRACT Either Party can request a variation to the LVPS Contract which is only effective if agreed in writing and signed by both Parties. CCS is not required to accept a variation request made by the Supplier. For 101(5) of the Regulations, if the Court declares any variation to the LVPS Contract ineffective, the Parties agree that their mutual rights and obligations will be regulated by the terms of the LVPS Contract as they existed immediately prior to that variation and as if the Parties had never entered into that variation.
