Turnover of Documents and Records. Upon demand of the Board after termination of the Agreement for any reason or the expiration of the Agreement by its terms, Provider shall turn over to the Board or its designee within five (5) business days of demand, all materials, supplies, equipment owned or purchased by the Board, completed or partially completed work product or analyses, data, computer disks, documents and any other information relating in any way to the Agreement or the performance or furnishing of Services, except that Provider may keep a copy of such information for its own records subject to other restrictions contained in this Agreement regarding the retention and use of this information. In the event the Board elects to have Provider destroy materials, Provider shall provide an affidavit attesting to such destruction.

Subject to the requirements of SOPPA set forth herein, upon demand of the Board after termination of this Master Agreement for any reason or the expiration of this Master Agreement by its terms, Vendor shall turn over to the Board or its designee within five (5) business days of demand, all materials, supplies, equipment owned or purchased by the Board, completed or partially completed work product or analyses, data, computer disks, documents and any other information relating in any way to this Master Agreement or the performance or furnishing of Services, except that Vendor may keep a copy of such information for its own records subject to the terms of this Master Agreement.

In the event Vendor retains a copy for its own records, it shall continue to abide by the terms of this Agreement, specifically those regarding the use of such information. In the event the Board elects to have Vendor destroy materials, Vendor shall provide an affidavit attesting to such destruction. Nothing in this Section shall require Vendor to turn over or destroy any patient information in violation of any federal or state medical records or patient confidentiality laws.

Upon demand of the Consortium Lead after a Member’s termination of participation under this Agreement for any reason or following the expiration of this Agreement by its terms, the Member shall turn over to the Consortium Lead or its designee within ten days of demand, all materials, supplies, equipment owned or purchased by the Consortium Lead, completed or partially completed work, analyses, data, computer disks, documents, and any other information relating in any way to this Agreement, except that Member may keep a copy of such information for its own records.

Notwithstanding the foregoing, nothing herein shall be construed as a waiver of any privilege or immunity to which Provider may be entitled and the Board shall not (a) object to any claim of privilege or immunity by the Provider, or (b) produce any documentation unless required by a final, non-appealable or by a court of competent jurisdiction.
