User Acceptance Test. (A) Sprint will issue details of the proposed test data and tests for the User Acceptance Test for the Enhanced and Future Enhanced Equipment to Supplier in accordance with the time schedule set out in the Milestone Schedule. The User Acceptance Test will test conformance of such Equipment with the Specifications. The User Acceptance Test plan will be mutually agreed to by the parties. After the Engineering Product Development Test is passed in accordance with the provisions of Section 7.3, Supplier will deliver the Equipment to Sprint for performance of the User Acceptance Test in accordance with the time schedule set out in the Milestone Schedule. The location of the test facilities shall be in a Sprint lab to be designated by Sprint. Supplier has the right to attend the User Acceptance Test and Sprint will promptly forward to Supplier copies of the test readings. (B) When the Equipment has passed the User Acceptance Test, Sprint will promptly issue a Milestone Acceptance Certificate to Supplier. (C) If the Equipment fails to pass the User Acceptance Test, then Sprint may, at its option: (i) require Supplier to promptly make such further alterations or modifications to the Equipment as reasonably necessary to enable the Equipment to pass the User Acceptance Test; or (ii) accept the Equipment subject to a list of Defects to be corrected by Supplier promptly or within a time period that Sprint and Supplier will mutually agree to.

User Acceptance Test. After receipt of TEGRIT’s installation certification for each Phase, FCERA will conduct a user acceptance test of the Phase (“User Acceptance Test”). Each User Acceptance Test must demonstrate that: (a) each of the functions for the System for such Phase, and all prior Phase(s), if any, have been provided and perform in accordance with this Agreement, including but not limited to the Requirements, Documentation and the applicable Acceptance Criteria; and (b) all applicable warranties have been met. In the event the Phase passes the User Acceptance Test (“User Acceptance”), FCERA will notify TEGRIT thereof in writing. If FCERA does not provide TEGRIT with a failure notice, pursuant to Section 5(c)(iv), within thirty (30) days of the completion of the User Acceptance Test, then the Phase will be deemed to have received User Acceptance.
