Uses Not Permitted. Tenant shall not use or occupy, or permit the use or occupancy of, the Premises or any part thereof for any use other than the use specifically set forth in Section 6.1 hereof, or in any manner that, in Landlord's judgment, would adversely affect or interfere with any services required to be furnished by Landlord to Tenant or to any other tenant or occupant of the Building, or with the proper and economical rendition of any such service, or with the use or enjoyment of any part of the Building by any other tenant or occupant.
Uses Not Permitted. Licensee covenants and agrees that it will not:
(a) whether in whole or in part, sell, rent, lease, sublease, license, sublicense, lend, time-share, transfer, assign or provide the use of or access to the Software and Related Materials, or any portion thereof, to unlicensed persons;
(b) assign, mortgage, charge or otherwise encumber either the Software and Related Materials or its rights under this Agreement;
(c) reverse engineer, decompile or disassemble the Software;
(d) alter, modify or create any derivative works of the Software and Related Materials or any portion thereof, except as needed for Licensee’s own use of Software;
(e) except as permitted elsewhere in this Agreement, make additional copies of the Software and Related Materials or any portion thereof;
(f) obscure or remove any copyright or trademark notices.
Uses Not Permitted. Notwithstanding the Permitted Uses, neither Tenant nor any other person or entity claiming through Tenant and having a right to possess, use, or occupy the Premises or Building shall at any time in, on, or around the Premises or Building (i) manufacture, develop, sell, display, prescribe, dispense or distribute any type of alcoholic beverages, tobacco products, narcotics, pharmaceuticals or other medical products, equipment or services, (ii) engage in or promote gambling activities, (iii) sell, offer, provide, display, dispense, publish, manufacture, or distribute any publication, product, or service that is pornographic, lewd, obscene, or otherwise objectionable in the sole, unfettered judgment and discretion of Landlord or its affiliates, or (iv) other than use by Landlord or any of its affiliates, use the Premises or Building for activities in support or promotion of a particular religious denomination or organization.
Uses Not Permitted. Pursuant to Amendment No. 1 to the License Agreement, City shall comply with the following additional restrictions:
a. City shall not use, transfer, redistribute, or Deploy the Enterprise License Software outside of the country listed in Appendix B without the prior written permission of Distributor and Esri and agreement on additional fees, if any. Any such export shall be subject to U.S. Export Control Regulation requirements of the License Agreement.
b. Hard-copy Documentation may not be copied.
Uses Not Permitted. Customer shall not transfer, redistribute, or assign EA Products to any third party without the prior written permission of Esri. Customer shall not use the EA Products outside the United States or its territories or possessions without the prior written permission of Esri and agreement on additional fees, if any. Any such export will be subject to U.S. Export Control Regulation requirements of the Master Agreement.
Uses Not Permitted. You may not distribute, copy or use the Dataset except as explicitly permitted herein. In particular, any commercial use of the Dataset is strictly prohibited. The use of screenshots, images, or videos of data is explicitly forbidden without the Licensor’s consent.
Uses Not Permitted. Licensee may not:
a. Create derivative works, which shall include, but shall not be limited to translations, adaptations, arrangements or any other alteration, or make copies of the Software, except as permitted in Paragraph 2 above or other provisions of this License;
b. Make copies of the Related Materials;
c. Install the Software on more terminals/stations than permitted or allow a greater number of users to access the Software at any one time than the total number of user licenses Licensee has purchased from Xxxxxxx Systems;
d. Rent, lease, sublicense, redistribute, assign, transfer, time-share or lend the Software, Related Materials or any rights under this License Agreement;
e. Alter, decompile, disassemble or reverse-engineer the Software, except and only to the extent such activity is expressly permitted by applicable law notwithstanding this limitation;
f. Make any attempt to unlock or bypass any initialization system or encryption techniques utilized by the Software; or
g. Alter, remove, or obscure any proprietary legend, copyright, trademark, patent or other proprietary intellectual property notice contained in or on the Software or Related Materials.
Uses Not Permitted. Notwithstanding anything herein to the contrary, Tenant shall not use the Premises, nor permit the Premises to be used, for any of the following purposes: retail securities brokerage; or a banking, trust company or savings and loan business. The Tenant shall comply with the Building Rules and Regulations attached as Exhibit B which are incorporated herein and shall not do, suffer or permit anything to be done in, on or about the Premises or the Property, nor bring, nor keep anything therein which will in any way affect fire or other insurance upon the Building or any of its contents or which will in anyway conflict with any law, ordinance, rule or regulation now or hereafter in force or effect relating to the occupancy and use of the Premises or the Property. Tenant shall not in any way obstruct or interfere with the rights of other tenants or users of the Property, or injure or annoy them, nor use, nor allow the Premises or the Building to be used for any improper, immoral, unlawful or objectionable purpose.
Uses Not Permitted. The authorized end user shall not sublicense, sell, rent, lease, loan, transfer, assign, or provide access to electronic versions of the Data, in whole or in part, to unlicensed third parties, including partner agencies, clients or contractors. Printed maps of all or portions of these Data may only be provided to partner agencies, clients or contractors as part of a larger analysis or project related to the purposes listed under item 2 of Permitted Uses above.
Uses Not Permitted. Except to the extent that applicable law prohibits or overrides these restrictions, or as provided herein, You shall not:
a. Sell, rent, lease, sublicense, lend, assign, or time-share Products;
b. Use Software or Documentation for a site or service and operate the site or service for profit or generate revenue through direct or indirect methods (e.g., advertising or by charging for access to the site or service);
c. Redistribute Products to third parties, in whole or in part, including, but not limited to, extensions, components, or DLLs;
d. Redistribute License Codes;
e. Reverse engineer, decompile, or disassemble Products;
f. Make any attempt to circumvent the technological measure(s) that controls access to or use of Products;
g. Upload or transmit content or otherwise use Products in violation of third-party rights, including intellectual property rights, privacy rights, nondiscrimination laws, or any other applicable law or government regulation;
h. Remove or obscure any City Explained, Inc. (or its licensors') patent, copyright, trademark, proprietary rights notices, and/or legends contained in or affixed to any Product, Product output, metadata file, or online and/or hard-copy attribution page of Documentation delivered hereunder;
i. Unbundle individual or component parts of a Product for independent use;
j. Incorporate any portion of the Software into a product or service that competes with the Software;
k. Publish the results of benchmark tests run on Beta without the prior written permission of City Explained, Inc. and its licensors;
l. Use, incorporate, modify, distribute, provide access to, or combine any computer code provided with the Software in a manner that would subject such code or any part of the Software to open source license terms, which includes any license terms that require computer code to be (i) disclosed in source code form to third parties, (ii) licensed to third parties for the purpose of making derivative works, or
