Utilities and Operating Expenses. To the extent not billed directly to tenants, or paid as part of Additional Rent (as hereinafter defined) or otherwise by tenants, water, electricity, sewer, gas, telephone and other utility charges based, to the extent practicable, on final meter readings and final invoices. Any operating expenses that are not paid by the tenants as Additional Rent or otherwise shall be prorated between Purchaser and Seller, with Seller receiving a credit for any operating expenses paid by Seller and related to the period from and after Closing.

The contract should include a provision that the intent of the parties is that the buyer be responsible for costs and expenses after closing while the seller be responsible for such expenses prior to closing. This type of provision can require a true-up by the parties if after closing a significant unfairness is discovered (e.g., prepayment of utilities).

If any estimates are made regarding adjustments or prorations, the Parties shall make the appropriate correction promptly when accurate information becomes available. Any corrected adjustment or proration shall be paid in cash outside of escrow to the party entitled thereto. The obligations of the Parties under this Section 9.3 shall survive for a period of twelve (12) months after the Closing Date.
Utilities and Operating Expenses. A. Electricity Lessor shall be responsible for securing delivery of electric services to the Property. In addition to any amount paid for Rent as specified in Section VI., Lessee shall pay all electricity charges attributed to the Leased Premises throughout the Lease Term. Lessee shall enter into an agreement with Lincoln Electric Service, or any other authorized provider of electricity, for the purchase of electricity for the Leased Premises during the Term of this Lease. Lessee shall make arrangements with the appropriate service provider to be billed directly by the provider for electricity used within the Leased Premises. Further, Lessee shall make all necessary payments for electricity used within the Leased Premises directly to the provider. Until billed directly, such charges shall be equitably apportioned on a square foot basis. Lessee shall provide Lessor with invoices of Lessor’s equitable share of electricity and Lessor shall pay Lessee within thirty (30) days of receipt of such invoice. No interruption of utility services by reason of causes beyond the reasonable control of the Lessor shall be an eviction or disturbance of Lessee’s use and occupancy of the Leased Premises, nor render the Lessor liable for damages; provided, however, that Rent shall xxxxx during any such interruption of utility services. The foregoing provision related to electricity charges notwithstanding, Lessee shall be responsible for the cost of all electricity used in the 949 West Bond building during the Transition Period. All billing statements and payments for electricity service provided to 000 Xxxx Xxxx Xxxxxx during the Transition Period shall pass directly between the provider and Lessee. Lessor shall not be held responsible for any costs incurred for the use of electricity at 000 Xxxx Xxxx Xxxxxx during the Transition Period.
