Variable Services. (a) EXCLUSIVE VARIABLE SERVICES. Sabre will be the sole provider to Customer of, and Customer will obtain from Sabre all of its requirements for, the Exclusive Variable Services. Except to the extent that this Agreement specifically requires Sabre to provide Exclusive Variable Services in certain circumstances, Sabre will not begin performing any Exclusive Variable Service until the Parties have completed and executed a Work Order for such Exclusive Variable Service.

Variable Services. A pre-planning time of 4 weeks is agreed upon for the services listed below, in order for both parties to be able to adjust their work to the supply times agreed upon in the pre-planning: - Project management - HPLC service - Handling of patents - Expertise with regard to production and molecular biology The persons that are to provide the variable services may only be exchanged with the consent of both parties. Any entitlement to these services is subject to express confirmation from DBVN.
Variable Services. Fees for pay-as-you-use services, plus applicable taxes, in accordance with our published rates which may change from time to time, are invoiced in arrears and payable on the 1st day(or such other day as the Provider designates) of the month following the calendar month in which the additional services were provided. For Client’s convenience, the Service Price Guide, which may change from time to time, lists many commonly requested services and their costs. If you require a service not shown in the Service Price Guide, such as postage, shipping labels, courier, or overnight delivery services, please ask a Workspace team member for the cost as it may include a convenience and administrative fee. Additional services are subject to the availability of the Provider’s Workspace staff to accommodate such requests at the time each such request is made.

Variable Services. 3.3.1 At Customer's request, and subject to the terms of this Article 3.3, EDS may perform services that are not included in Base Services. These Services shall be referred to as “Variable Services,” and the charges for such Variable Services will be determined in accordance with a pricing mechanism agreed to by the Parties and included in Exhibit 4 to this Agreement. For the avoidance of doubt, Variable Services do not include additional volumes of Base Services, which, if required, will be charged to Customer in accordance with the pricing mechanism set forth in Exhibit 4. EDS shall provide Customer with a written description of the work to be performed by each Party, the Parties' responsibilities with respect to that work, a work schedule, and EDS's charges for that work. Charges for such Variable Services shall be competitive with the market rates for such services provided to similar customers for similar services and shall take into account the EDS resources and expenses for Base Services that will no longer be required, if the Variable Services are performed by EDS using the same EDS resources. Upon receiving (i) Customer's written approval of the authorization to proceed and agreement to pay EDS's charges, and (ii) applicable development specifications, where appropriate, the Parties shall execute a written supplement to this Agreement setting forth any special terms and conditions applicable to such Variable Services, and EDS will begin performing the Variable Services.

  • Optional Services To the extent that the Fund elects to engage the Transfer Agent to provide the services listed below the Fund shall engage the Transfer Agent to provide such services upon terms and fees to be agreed upon by the parties:

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.
