Vendor Data. Subject to applicable law and provided that Customer’s organization is not identified and no personally identifiable information from Customer is disclosed, Infoblox shall have all right, title, and ownership interest in: (i) usage data and patterns, performance data, and other metadata associated with the performance of and Customer’s use of the Products or Services (“Usage Data”) and (ii) all data provided by Customer or users through access or use of the Products or Services that has been anonymized, aggregated, or de-identified (“Anonymized Data”). Infoblox shall be free to use such Usage Data and Anonymized Data for its own business purposes, including to supplement, test, or improve Infoblox’s Products and Services or publish such information in reports, analyses, and promotional materials. For the avoidance of doubt, Usage Data and Anonymized Data are not Customer’s Data.

Vendor Data. Supplier shall furnish all Vendor Data required by and within the time stated in the Purchase Order Documents. At commencement of the Contract, Company may nominate and hold retention until all Vendor Data is complete, submitted and accepted.
Vendor Data. 1. Vendor retains all right, title and interest in and to the Vendor Data, other than the limited rights expressly granted in this Section 13. For purposes of this Agreement, “Vendor Data” means any and all information collected and/or stored by or on behalf of Shipmate Fulfillment in connection with Vendor’s use of the Services, excluding data and information relating to the operation and/or performance of the Shipmate Fulfillment Platform. 2. Nothing shall be construed to restrict, impair, encumber, alter, deprive or adversely affect the Vendor Data, or any of Vendor’s rights or interests therein. Vendor hereby grants Shipmate Fulfillment the non-exclusive right and license to (a) copy, use, modify, distribute, display and disclose Vendor Data solely to the extent necessary to provide the Service to Vendor pursuant to the TOS, (b) copy, modify and use Vendor Data in connection with internal operations and functions, including, but not limited to, operational analytics and reporting, internal financial reporting and analysis, audit functions and archival purposes and (c) copy, use, modify, distribute, display and disclose Vendor Data on an aggregate and anonymized basis for marketing purposes.
Vendor Data. 3.1 Vendor will implement technical and organizational measures necessary to meet requirements under applicable data protection laws to reasonably protect Vendor data. 3.2 Vendor shall be responsible for the content of Vendor data and for entering Vendor data into the Portal service. Vendor agrees that it has collected and shall maintain and handle all Vendor data in compliance with all applicable data privacy and protection laws, rules, and regulations. 3.3 Vendor agrees that it shall have sole responsibility and liability for any and all Vendor Data. “Vendor Data” means any data entered into the Portal by or on behalf of Vendor or furnished by or on behalf of Vendor pursuant to this Agreement.
Vendor Data. Data in Seller’s possession relating to, and all right, title and interest in and to, any tooling, molds, equipment and proprietary specifications owned by Seller and Data that Seller is in the possession of relating to any and all vendors from which Seller has purchased goods or services for the Business prior to the Closing Date, whether or not there are any “open” purchase orders issued to such vendors, as well as names and other information concerning any vendor that provides goods or services that are material to operation of the Business (collectively, “Vendor Data”). A listing of all vendors from which Seller has purchased material amounts of goods or services in the Business since January 1, 2008 is set forth on Schedule 1.6. Vendor Data shall include, but not be limited to, name, address, e-mail information, all telephone and facsimile numbers, and any and all tangible documents, files and records in Seller’s possession regarding such vendor’s transactions with Seller solely as they relate to the Business. Notwithstanding the foregoing, Vendor Data shall not include any information with regard to any vendors, or any transactions between Seller or any of its subsidiaries and such vendor, relating to any business other than the Business.

Vendor Data. SELLER shall provide to BUYER with the number of copies of data as set forth in the Vendor Data Requirement List for the Goods being purchased by BUYER including, but not limited to, commissioning and start-up data, operating and maintenance manuals, drawings and spare parts data, as well as listings of recommended spare parts required for a two (2) year period of operations and for start-up. SELLER is hereby advised by BUYER that the Purchase Order will only be deemed complete once the BUYER has received the acknowledgement copy of the Purchase Order and any Change Orders (if applicable) and all drawings and data specified in the order and specifications. BUYER may elect to withhold or retain amounts otherwise payable pending acceptable receipt of all such requirements.

Vendor Data. Subprocessors Bound. PowerSchool will enter into written agreements whereby Vendor-Data Subprocessors agree to secure and protect Customer Data in a manner consistent with the terms of this exhibit and the DPA. PowerSchool will periodically conduct or review compliance monitoring and assessments of Vendor-Data Subprocessors to determine their compliance with this exhibit and DPA.
