Voluntary Resignation by the Executive. The Executive shall have the right to voluntarily resign his employment hereunder for other than Good Reason (as such term is defined herein) by written notice to the Company.
Voluntary Resignation by the Executive. The Executive may voluntarily terminate his employment with the Company at any time with or without notice and with or without reason. Such voluntary termination by the Executive shall include, without limitation, the Executive’s decision not to renew this Agreement upon expiration of the Term of Employment if the Company offers to renew this Agreement on economic terms and conditions at least equal to this Agreement and for a term at least equal to one year. In the event the Executive voluntarily terminates his employment, the Executive’s salary shall cease on the termination date and the Executive will not be entitled to severance pay, pay in lieu of notice, or any other compensation other than payment of accrued salary and vacation and other benefits as expressly required in such event by applicable law or the terms of applicable benefit plans.
Voluntary Resignation by the Executive. The thirtieth (30th) day following a written notice of voluntary resignation by the Executive to the Company.
Voluntary Resignation by the Executive. If the Executive terminates his employment by voluntary resignation (but not for Good Reason), this Agreement shall terminate without further obligations to the Executive, other than Accrued Obligations that the Executive has accrued or earned as of the Date of Termination. All such Accrued Obligations shall be paid to the Executive in a lump sum in cash within 30 days following the Date of Termination.
Voluntary Resignation by the Executive. The Executive may voluntarily resign the Executive’s position and terminate the Executive’s employment with the Company at any time by delivery of a written notice of resignation to the Company (the “Notice of Resignation”). The Notice of Resignation shall set forth the date such resignation shall become effective (the “Date of Resignation”), which date shall be at least ten (10) days and no more than thirty (30) days after the date the Notice of Resignation is delivered to the Company. The Notice of Resignation shall be sufficient notice under Section 2 above to prevent the automatic extension of this Agreement, if timely given according to the terms of Section 2.
Voluntary Resignation by the Executive. The Executive shall have the right to voluntarily resign his employment hereunder by 30 days' advance written notice to the Company.
Voluntary Resignation by the Executive. Executive may resign without Good Reason on 30 days written notice to the Company.
Voluntary Resignation by the Executive. The Executive may voluntarily resign upon written notice to EMC. In the event the Executive voluntarily resigns (other than for Good Reason (as defined in Section 6(d)) prior to expiration of the Term, the Executive shall be entitled to the termination benefits set forth in Section 6(f)(i) of this Agreement. In the event the Executive voluntarily resigns (other than for Good Reason (as defined in Section 6(d)) after expiration of the Term, the Executive shall be entitled to the termination benefits set forth in Section 6(g) of this Agreement.
Voluntary Resignation by the Executive. In the event that the Executive’s employment hereunder is terminated due to voluntary resignation by Executive, Executive will receive the Accrued Benefits and a Pro-Rata Bonus for the year in which the Termination Date occurs. For purposes of this Section 4(c), a “Pro-Rata Bonus” means the Annual Incentive Compensation for the year in which the Termination Date occurs based on the Target Award or the Maximum Target Award, prorated based on the total number of days Executive remained employed by the Company during the year that includes his Termination Date as a fraction of the full calendar year in which such Termination Date occurs. For the avoidance of doubt, Executive will receive not less than the Target Award determined for the year that includes Executive’s Termination Date, prorated in accordance with this subsection (c), however, Executive may receive up to the Maximum Target Award determined for the year that includes Executive’s Termination Date, prorated in accordance with this subsection (c), based on the Company’s performance for the portion of the calendar year measured between January 1 through December 31 of such calendar year. The Pro-Rata Bonus will be paid no later than March 15th of the year in which the Termination Date occurs.
Voluntary Resignation by the Executive. In the event that the Executive terminates his employment hereunder prior to the then-scheduled expiration of the Term, other than in a termination governed by Section 6.1 or 6.3, the Term shall expire and he shall be entitled only to the benefits described in Section 6.6 .
