Warranty as to Title. The Delivering Participant warrants to the Receiving Participant that:
(a) all gas that the Delivering Participant makes available for delivery in accordance with its obligations under this agreement will, when made available for delivery at the Delivery Point, be free from all liens, charges, encumbrances and adverse claims; and
(b) the Delivering Participant will ensure that title to all gas that it makes available for delivery in accordance with its obligations under this agreement will transfer to the Buyer on delivery at the Delivery Point.
Warranty as to Title. FCI represents and warrants -------------------- unto Nominee that it has transferred fee simple title to the Properties to Nominee, and that its deeds of conveyance to Nominee convey to said Nominee title subject only to (i) subdivision and condominium restrictions, covenants, etc., including timeshare declarations, (ii) road rights of way and easements, (iii) utility easements, (iv) the rights of Purchasers who have entered into the Sales Contracts, (v) those Mortgages set out on Schedule B attached hereto, (vi) other such miscellaneous restrictions, covenants and Mortgages as those enumerated above, and (vii) the terms of this Agreement.
Warranty as to Title. FCI represents and warrants unto Nominee that it -------------------- has transferred fee simple title to the Properties to Nominee. FCI further represents and warrants unto Nominee that the deeds of conveyance heretofore or that may hereafter be delivered to Nominee conveyed, or shall convey, to Nominee title subject only to (i) subdivision and condominium restrictions, covenants, etc., including timeshare declarations, (ii) road rights of way and easements, (iii) utility easements, (iv) the rights of Purchasers who have entered into the Sales Contracts, (v) other such miscellaneous restrictions and covenants, (vi) as to the Properties conveyed to Nominee prior to the date hereof, certain Mortgages to Fleet in its various capacities that were subsequently released, (vii) as to lands hereafter conveyed to Nominee, Mortgages, if any, that may be granted to the Fleet Collateral Agent or to Fleet acting as agent for the lenders of the "Senior Indebtedness" as that term is defined in the Consolidated Loan Agreement from time to time hereafter, and (viii) the terms of this Agreement.
Warranty as to Title. 10.1 The Owners and the Developer hereby warrant to the Council that the title details referred to in recitals 2,3,4,5 and 6 are complete and accurate in every respect. Further the Owners and the Developer warrant that they know of no other persons with an interest in the Land that they have not disclosed to the Council
10.2 The Owners and the Developer shall make good any loss to the Council as a result of a breach of this warranty within twenty eight days of a request to do so
Warranty as to Title. In relation to all Products delivered to a Purchaser under this Agreement, the Supplier warrants that:
(a) at the time of delivery on Delivery Date the Products are, and at all times in the future will be, free from liens and encumbrances: and
(b) the Supplier has good title to the Products.
Warranty as to Title. 9.1 The Owner hereby warrants to the Borough Council and the County Council that no person other than the Owner has any interest in Land A for the purposes of section 106 of the Act.
Warranty as to Title. Fairfield represents and ---------------------- warrants unto Nominee that it will transfer fee simple title to the Property to Nominee, and that its deed(s) of conveyance to Nominee will convey to said Nominee title subject only to (i) condominium restrictions, covenants, etc., including timeshare declarations, (ii) road rights of way and easements, (iii) utility easements, (iv) the rights of Purchasers who have previously entered into Sales Contracts, (v) those Mortgages identified on Schedule B attached hereto, (vi) such other miscellaneous restrictions, covenants and Mortgages as those enumerated above, and (vii) the terms of this Agreement.
Warranty as to Title. The Seller warrants good title to the Supplies.
Warranty as to Title. The Owner hereby warrants to the Council that the title details referred to in recital 2 and in the First Schedule hereto are complete and accurate in every respect. The freehold land situated at Risbury, Leominster shown edged red on the Plan and forming part of the Title Number HE22694 An application for Planning Permission dated the day of 200 made under the Council’s reference DCNC2006/3893/F for demolition of existing buildings (if any) and erection of four dwellings and associated garages and/or parking spaces and associated drainage.
1. To construct or procure the construction of the Affordable Housing Units in accordance with the Planning Permission and to current Housing Corporation scheme development standards and to the Xxxxxx Xxxxxxxx “Lifetime Homes” standards.
2. The Affordable Housing Units shall be occupied as a sole residence only by a person or in the case of two or more persons one of whom has a local connection with the parish of Humber Ford and Stoke Prior Group Parish or in the event of there being no person having a local connection to the parish of Humber Ford and Stoke Prior Group Parish a person with a local connection to the adjoining parishes of or in the event of there being no person with a local connection with any of the preceding parishes any other person ordinarily resident within the administrative area of the Council.
3. For the purposes of paragraph 2 of this Schedule “local connection” means having a local connection to one of the parishes specified above because that person: is or in the past was normally resident there and that residence is or was of his own choice; or is employed there; or has a family association there; or shows a proven need to give support to or receive support from family members; or can show special circumtances; and for the purposes of this paragraph 3: “normally resident” shall be established by twelve months prior residence in one of the parishes specified in paragraph 2 of this Schedule “employed” shall mean in the employ of another not being of a casual nature but shall not exclude part-time employment of 16 hours or more per week or self-employment
Warranty as to Title. The Purchaser acknowledges that no representations or warranties have been made by Urban Fringe, or any one acting on its behalf, as to the condition of, title to, or use or zoning of the Lot or with respect to any other matter or thing in connections with the Lot, including but not limited to the use or intended use of properties adjacent or in close proximity to the Lot, and further acknowledges that it has had the opportunity to inspect the Lot and is satisfied as to the title, condition, use and zoning of the Lot.
