Warranty to Distributor. MANUFACTURER will, at its sole discretion, repair, replace or take back against refund, any MANUFACTURER Product that (i) was defective at the time Distributor received the Product from MANUFACTURER, and (ii) is returned by Distributor to MANUFACTURER within thirty (30) days of Distributor’s receipt.

Warranty to Distributor a) Standard Limited Warranty. Manufacturer warrants to Distributor that the Products sold to Distributor shall conform to Manufacturer’s published specifications and be free from material defect for a period of one year from the date of delivery for non-sterile Product, and for sterile Product, for a period equal to the longer of (1) the labeled shelf life of the sterile Product less 5 months or (2) 13 months from Distributor’s receipt of said sterile Product, subject to the limitations set forth in Subsections 5(b), 5(c) and 5(d) below. This warranty is contingent upon proper use of a Product in the application for which it was intended and does not cover Products that were modified without Manufacturer’s approval or that were subjected by the customer or by the Distributor to unusual physical or electrical stress.

Warranty to Distributor. (a) Supplier warrants that all Products sold to the Distributor (i) shall be free from defects in workmanship and materials as of the date of delivery, except for any defects arising out of actions taken by or at the direction of the Distributor, including by way of example and not limitation, failure of Distributor to ship or store Products in conformance with the specifications set forth in Exhibit D and (ii) shall comply with the specifications for Products set forth on Exhibit A (as such specifications may be amended from time to time in accordance with the terms hereof) and with any agreed upon specifications for new Products. The Supplier’s liability under this warranty, whether in contract or tort, shall be limited exclusively to the repayment of the purchase price of the defective Products.

Warranty to Distributor. VidaMed's obligations with respect to the ----------------------- Products are strictly limited to VidaMed's standard written warranty, as set forth in Exhibit E attached hereto (the "Warranty"). The Warranty made and issued by VidaMed with respect to a Product in the ordinary course of its business as of the time such Product is delivered to Distributor will not run in favor of Distributor but will run (if at all) in favor of any end-users purchasing Products new from or through Distributor. In the event of a breach of the Warranty, VidaMed will, at no charge to the customer, repair or replace all defective Products at its facilities. Prior to returning any Product alleged to be defective, Distributor will notify VidaMed in writing of the claimed defect and will include the model and lot/serial number of such Product, as well as the number and date of the invoice therefor.
