Standard Limited Warranty. CVDI warrants that the CVDI Cards, the Alliance Cards, the Dade Alliance Cards, the Specialty Cards, and the Specialty Products and Controls shall, at the time of shipment, (a) comply with the requirements of the Act, if applicable, and shall until their expiration date conform to the labeling and package inserts approved by CVDI; (b) will not be products that are adulterated or misbranded within the meaning of the Act; (c) shall have been manufactured, packaged, stored and shipped in conformity with applicable GMP requirements; and (d) will not be products that may not be introduced into interstate commerce pursuant to applicable federal or state law. CVDI warrants that all Instruments and Products (other than Cards and Controls), shall, until the earlier of twenty-four (24) months from shipment by CVDI or twelve (12) months after the date of installation with the customer: (a) comply with the requirements of the Act, if applicable, and shall conform to the labeling and package inserts approved by CVDI; (b) will not be products that are adulterated or misbranded within the meaning of the Act; (c) shall have been manufactured, packaged, stored and shipped in conformity with applicable GMP requirements; and (d) will not be products that may not be introduced into interstate commerce pursuant to applicable federal or state law. This limited warranty is contingent upon proper use of a Product in the application for which such Product was intended and does not cover Products that were modified without CVDI's written approval, that have expired, or that were improperly stored or handled. As of the date of the execution of this Agreement, CVDI has no knowledge that any of the Products, or the sale or use of any of the Products for their intended purposes infringe any intellectual property of any third party.
Standard Limited Warranty. The Products purchased hereunder are subject to the following Altair standard limited warranty for the Products (the "Warranty").
Standard Limited Warranty. Except as hereinafter expressly limited, or otherwise on the sales order acknowledgment or VLT product literature, VLT unconditionally warrants that its Standard Products, when operated at or below rated optical power and within specified physical and electrical limits shall be free from defects in materials and workmanship for a period of one year from the date of shipment from VLT. Products are not designed or intended for use in (i) the design, construction, operation or maintenance of any nuclear facility, (ii) navigating or operating aircraft; or (iii) operating life-support or life-critical medical equipment, and without limiting any other disclaimers herein, VLT disclaims any express or implied warranty of fitness for such uses. Liability under this warranty is limited, at VLT’s option, to replacing, repairing or giving credit for the purchase price of any equipment returned and shipped prepaid to Vortran Laser Technology, Inc. at its plant in Sacramento, California, within the warranty period, provided prior authorization for such return has been given by an authorized representative of VLT and Xxxxx has obtained a Returned Material Authorization (“RMA”) number from VLT. Equipment or components repaired or replaced under this warranty are subsequently warranted only for the remaining, unexpired portion of the warranty period applicable to the original equipment or component at the time of issuance of the RMA number. If VLT elects to repair or replace the equipment, VLT shall have a reasonable time to repair or replace such equipment. This warranty shall not apply to any instrument or component not manufactured by VLT. When Products manufactured by others are included in VLT equipment the original manufacturer’s warranty, if any, is extended to VLT customers. This warranty shall not apply to equipment or components, which inspection by VLT shall disclose to have become defective or unworkable due to accident, neglect, abuse, mishandling, misuse, accidental alteration, negligence, improper installation, improper adjustment, improper repair or testing, operation outside of VLT environmental specifications or other causes beyond VLT control. Standard Limited Warranty. Integrator shall pass on to End-Users Adzone's standard limited warranty for the Licensed Products, including the limitations set forth in Exhibit B.
Standard Limited Warranty. ArthroCare warrants to Collagen that, subject to the exclusions set forth in Section 10.2 below, at the time of shipment, the Licensed Products (i) shall be substantially free from defects in material and workmanship for the applicable warranty period as set forth in Exhibit C hereto; and (ii) shall have been manufactured in accordance with Current Good Manufacturing Practices (“CGMP”). Collagen’s exclusive remedy and ArthroCare’s sole liability for breach of the foregoing warranty shall be remedy set forth in Section 10.3. All defective Licensed Products shall be returned to ArthroCare in accordance with Section 10.3. Collagen shall not pass on to its Customers a warranty or limitation of liability which its more protective of such Customers than the warranty (including the limited remedy and exclusions) set forth in this Article 10 and the limitation of liability set forth in Article 19.
Standard Limited Warranty. ArthroCare warrants to Collagen that, subject to the exclusions set forth in Section 10.2 below, at the time of shipment, the Licensed Products Collagen's exclusive remedy and ArthroCare's sole liability for breach of the foregoing warranty shall be the remedy set forth in Section 10.3. All defective Licensed Products shall be returned to ArthroCare in accordance with Section 10.3. Collagen shall not pass on to its Customers a warranty or limitation of liability which is more protective of such Customers than the warranty (including the limited remedy and exclusions) set forth in this Article 10 and the limitation of liability set forth in Article 19.
Standard Limited Warranty. Autodesk will provide no warranty or continuing support for the Software to Customers or the Sales Channel and UAR agrees that UAR shall be solely responsible for providing warranty and continuing support to UAR's Customers and Sales Channel. Autodesk warrants to UAR, for a period of ninety (90) days from delivery by Autodesk to UAR, that the copies of the Software delivered to UAR (as a standalone product) will perform substantially in accordance with the Documentation. As Autodesk's entire liability and UAR's exclusive remedy under this warranty, Autodesk shall replace free of charge any defective diskette, hardware lock or manual which is returned to Autodesk within 90 days after delivery and which is accepted by Autodesk as defective and may at its discretion make reasonable efforts to correct any demonstrated error in the Software. UAR shall honor and shall require its Customers to honor the warranty against defective media, documentation and hardware locks indicated above and shall return any such defective items to Autodesk for credit or exchange pursuant to the return policies established by Autodesk from time to time. UAR SHALL NOT MAKE OR PASS ON TO ANY PARTY ANY WARRANTY OR REPRESENTATION CONCERNING THE SOFTWARE AND DOCUMENTATION ON BEHALF OF AUTODESK. No Other Warranty. EXCEPT FOR THE LIMITED WARRANTY TO UAR DESCRIBED IN SUBPARAGRAPH 8.1 ("STANDARD LIMITED WARRANTY"), AUTODESK GRANTS NO OTHER WARRANTIES, EXPRESS OR IMPLIED, BY STATUTE OR OTHERWISE REGARDING SOFTWARE AND DOCUMENTATION. AUTODESK DOES NOT WARRANT THE PERFORMANCE OF THE SOFTWARE WHEN USED IN CONJUNCTION WITH THE UAR PRODUCT.
