WHEAREAS Sample Clauses

WHEAREAS. Seller wishes to sell to Buyer and Buyer wishes to purchase from Seller, 27,675 (twenty seven thousand six hundred and seventy five) Ordinary Shares of the Company, each bearing a par value of NIS 0.1 (the "PURCHASED SHARES"), all in accordance with the terms and conditions set forth herein. NOW THEREFOR, the parties, intending to be legally bound, hereby agree as follows:

WHEAREAS. Seller is the owner of 2,400 (twenty four hundred) Preferred Shares of Voice Diary Ltd. (the "COMPANY"), each bearing a par value of NIS 0.1; and

WHEAREAS all references herein to “Sublessor” and Sublessee” shall apply to each Sublessor and Sublessee identified on Schedule I and all references to “Landlord”, “Prime Lease”, “Building”, “Premises”, “Subleased Premises”, “Term”, Base Rent”, and Sublessee’s proportionate share of “Additional Rent” shall apply to each Sublessor and Sublessee in accordance with the corresponding material terms set forth in Exhibit S applicable to such parties’ Subleased Premises.

WHEAREAS. Party A is a wholly foreign-owned enterprise which is lawfully registered and established and continuously exists within the territory of the People’s Republic of China;

WHEAREAS. Champaign County Area Rural Transit System (C-CARTS) is the program name under which rural public transportation is provided within Champaign County; and

WHEAREAS in order to enable the Company to effectively protect its proprietary information, the Company wishes to enter into this non-competition and waiver Agreement with the Employee; and

WHEAREAS this collaboration will contain costs; improve services to eligible recipients by reducing service overlaps or duplications and close gaps in availability of services. WHEAREAS, the Women, Infants and Children (WIC) Program administered by the Office of Nutrition Services within the Bureau for Public Health also maintains a working relationship with MCFH.

WHEAREAS. The Borrower (/Mortgagor) and the Lender (/Mortgagee) entered into a Project Loan Agreement (No. 201090463002) dated as of June 10, 2009 (the “Original Contract”). 1 Please note that the postal code stated in the Chinese version of this Amendment Agreement is 20120, which is incorrect.

WHEAREAS. Employee entered into an employment agreement with the Company dated (the “Employment Agreement”); and

WHEAREAS the Bureau for Medical Services (hereinafter BMS) is the single state agency responsible for administration and oversight of the State Plan for Title XIX of the Social Security Act (SSA) of 1965 as amended (Medicaid) services.
