Performance of Consulting Services. As a non-employee consultant, the Company does not retain or exercise the right to direct, control, or supervise you as to the details and means by which the consulting services contracted for are accomplished. You and the Company agree that, as a non-employee consultant, you will serve as an independent contractor in the performance of your duties under this Letter Agreement. As a result, you will be responsible for payment of all taxes and expenses incurred arising out of the payments under the Letter Agreement for your activities as a non-employee consultant in accordance with this Letter Agreement, including but not limited to, federal and state income taxes, social security taxes, unemployment insurance taxes, and any other taxes or business license fees as required. Moreover, you agree that, except as authorized by the Company, you will not represent directly or indirectly that you are an agent or legal representative of the Company, nor will you incur any liabilities or obligations of any kind in the name of or on behalf of the Company, other than those specifically made or approved as part of this Letter Agreement.

Performance of Consulting Services. 3.1 Each SOW will include reasonable details about Consulting Services, including, at a minimum, the Fees charged and the qualified employees and/or non-employee contractors of IJJCorp (“Subcontractors” and together with IJJCorp’s employees for the purposes of these Supplemental terms, “Consulting Services Personnel”) employed in performing the Consulting Services. IJJCorp and Subscriber agree to cooperate in good faith to achieve satisfactory completion of the Consulting Services in a timely and professional manner. 3.2 The Parties will each designate a representative to interface and facilitate the successful completion of the Consulting Services (“Subscriber’s Representative” and “IJJCorp’s 3.3 IJJCorp will perform the Consulting Services, directly or through a Subcontractor of its choice. Subscriber agrees to provide, at no cost to IJJCorp, timely and adequate assistance and other resources requested by IJJCorp to enable the performance of the Consulting Services (collectively, “Assistance”). Neither IJJCorp, nor its Subcontractors will be liable for any deficiency in performance of Consulting Services to the extent resulting from any acts or omissions of Subscriber, including but not limited to, Subscriber’s failure to provide Assistance as required hereunder. 3.4 In performing the Consulting Services, IJJCorp will provide such resources, and utilize Consulting Services Personnel as it deems necessary to perform the Consulting Services or any portion thereof. Subscriber may object to IJJCorp’s election of Subcontractors by specifying its objection to IJJCorp, in which case the Parties will cooperate in good faith to 3.5 IJJCorp will control the method and manner of performing all work necessary for completion of Consulting Services, including but not limited to the supervision and control of any Personnel performing Consulting Services. Performance of Consulting Services. The Consulting Services shall be required at such times and such places as shall not result in unreasonable inconvenience to the Executive, recognizing the Executive's other business commitments that he may have to accord priority over the performance of the Consulting Services. In order to minimize interference with the Executive's other commitments, the Consulting Services, to the extent practicable and not prejudicial to the Company Group, may be rendered by personal consultation at his residence or office wherever maintained, or by correspondence through mail, telephone, e-mail or other similar mode of communication at times most convenient to him. It is hereby understood and agreed that during the Consulting Period, the Executive shall have the right to engage in full-time or part-time employment with other business enterprises; provided that the Executive does not breach the restrictive covenants set forth in Section 5 hereof. The parties hereto reasonably anticipate that the level of bona fide services that the Executive is to perform during the Consulting Period will not exceed more than twenty percent (20%) of the average level of bona fide services performed over the immediately preceding 36-month period.

Performance of Consulting Services. In addition to the training and support services provided in Section 4.4, 3DP will provide BMS with 3DP Consulting Services as specifically set forth in work orders agreed to in writing by the Parties and attached hereto from time to time (each, a "Work Order"). Such Work Orders shall specify, at a minimum, the scope of work to be performed, the timeline, any 3DP Consulting Services' deliverables, any BMS participation or inputs required, and fees due from BMS for such 3DP Consulting Services. 3DP shall use commercially reasonable efforts to complete performance of the relevant 3DP Consulting Services on or before the targeted date(s) for completion set forth in the timeline.

Any Subcontractor (defined below) designated by Certified-Environmental to perform any portion of the Consulting Services will designate a representative to interface with Subscriber and Certified-Environmental k on all matters relating to Subcontractor’s performance of Consulting Services (“Subcontractor’s Representative”). 3.2. Certified-Environmental will perform the Consulting Services, directly or through a Subcontractor of its choice. Subscriber agrees to provide, at no cost to Certified-Environmental, timely and adequate assistance and other resources reasonably requested by Certified- Environmental to enable the performance of the Consulting Services (collectively, “Assistance”). In performing the Consulting Services, Certified-Environmental will provide such resources, and utilize such qualified employees and/or non-employee contractors of Certified- Environmental k (“Subcontractors” and together with Certified-Environmental employees, “Personnel”) as it deems necessary to perform the Consulting Services or any portion thereof. Subscriber may object to Certified-Environmental election of Subcontractors by specifying its objection to Certified-Environmental, in which case the Parties will cooperate in good faith to appoint another Subcontractor to perform such Consulting Services. Certified-Environmental may replace Personnel in its normal course of business, provided that Certified-Environmental will be responsible for the performance of Consulting Services by all Personnel. 3.4. Certified-Environmental will control the method and manner of performing all work necessary for completion of Consulting Services, including but not limited to the supervision and control of any Personnel performing Consulting Services. Certified-Environmental will maintain such number of qualified Personnel and appropriate facilities and other resources sufficient to perform Certified-Environmental obligations under this Agreement in accordance with its term...
