Xxxxxx Certification. The Producer must undertake the xxxxxx Certification in respect of the Project. In the event of any inconsistency between this Rider and the Agreement, the terms of this Rider shall prevail. Xxxxxx Certification. Notwithstanding any other provision of this Agreement, Verizon shall have no obligation to perform under this Agreement until such time as Xxxxxx has obtained such FCC and Commission authorization as may be required by Applicable Law for conducting business in the State of Illinois. Marion shall not place any Orders under this Agreement until it has obtained such authorization. Xxxxxx shall provide proof of such authorization to Verizon upon request.
Xxxxxx Certification. Xxxxx X. Xxxxxx has provided a certified written statement in the form attached as Exhibit VIIE ("Certification") (i) warranting and representing that Xxxxxxx Xxxxxx is the sole owner of all MAI Shares in which she had or might have had an interest, that she and Xxxxxxx Xxxxxx are parties to an agreement in respect of dissolution of marriage which awards all interest in MAI Shares to Xxxxxxx Xxxxxx and that the agreement has been duly executed, and constitutes the legal, valid and binding obligation of Xxxxxxx Xxxxxx and Xxxxx X. Xxxxxx, enforceable in accordance with its terms (subject to limitations on enforcement of remedies and the discretion of courts in awarding equitable relief), and provides that all MAI Shares to be transferred by Xxxxxxx Xxxxxx in accordance with this Purchase Agreement are owned solely by him without a claim to those MAI Shares from Xxxxx X. Xxxxxx, (ii) that no disputes of any nature, whether claims, lawsuits or other disagreements formally filed or informally pursued exist among the Shareholders and Xxxxx X. Xxxxxx or between them and another person or entity or on their behalf (individually or jointly) with respect to that share ownership, and no such disputes have been threatened, except for the dissolution of marriage action between Xxxxx and Xxxxxxx Xxxxxx, which has been resolved by their marital settlement agreement which provides for the transfer of all MAI Shares to Xxxxxxx Xxxxxx, and (iii) that Xxxxx X. Xxxxxx waives, releases and renounces any and all claims of any nature whatsoever against Buyer arising out of Buyer's form, method or allocation of payment of the Purchase Price and any other consideration under this Agreement as provided in this Agreement or, to the extent not specifically directed in this Agreement, as otherwise directed by a Shareholder.
Xxxxxx Certification. 9.1. The training necessary to obtain a Xxxxxx Certification for providing consulting and implementation services will be provided on the general terms and at the subsidized fees applied by the Xxxxxx Group. Xxxxxx reserves the right to amend such terms and fees upon provision of sufficient notice in advance of its intention to do so. The requirements for Xxxxxx Certification are set out in Appendix 3. Any sales or pre-sales training will be provided through supplier training programs and additionally made available by Supplier on the Xxxxxx Partner Community.
Xxxxxx Certification. In the event that any of Supplier’s products are certified Kosher by any Kosher Certification Organization, please identify the Certification Organization and attach supporting documentation in evidence of such certification. Xxxxxx Certification. Notwithstanding any other provision of this Agreement, CenturyLink shall have no obligation to perform under this Agreement until such time as XXXXXX has obtained such FCC and Commission authorization(s) as may be required by Applicable Law for conducting business in the State as a CLEC. XXXXXX must represent and warrant to CenturyLink that it is a certified local provider of Telephone Exchange Service in the State. XXXXXX will provide a copy of its Certificate of Operating Authority or other evidence of its status to CenturyLink upon request. XXXXXX shall not place any orders under this Agreement until it has obtained such authorization.
Xxxxxx Certification. In addition to the responsibilities set forth in this CIA for all Covered Persons, Xxxxxx is expect to monitor and oversee areas within his authority and to annually certify that the compliance of areas within his authority with Federal health care program requirements and the requirements of this CIA. For each Reporting Period, Xxxxxx shall sign a certification that states: “I have been trained and understand the compliance requirements and responsibilities as they related to the areas under my authority, which are [describe areas]. My job responsibilities include ensuring compliance with the Corporate Integrity Agreement for these areas and ensuring compliance with all applicable Federal health care program requirements for these areas. I have taken steps to promote such
Xxxxxx Certification. An employee who holds a Xxxxxx Reading certification shall receive a differential of $2.00 per hour in addition to any other stipend and/or differential. Registered Behavior Technician Certification An employee who holds a Registered Behavior Technician Certification shall receive a differential of $3.00 per hour in addition to any other stipend and/or differential.
