Your Site. You hereby acknowledge that Overture is not responsible for the maintenance of your Web site(s) nor is Overture responsible for order entry, payment processing, shipping, cancellations, returns or customer service concerning orders placed on Advertiser's Web site(s). You must update your search listings if any information is not a current and accurate description of information available on your Web site. You further acknowledge that your site does not contain any Overture owned or licensed content, including but not limited to, any Overture search listings, except pursuant to a separate signed affiliate agreement with Overture. You hereby grant Overture the irrevocable right to access, index, cache, and display (in connection with your listings) the Web site(s) to which your search listings link, or any portion thereof, including by any automated means including web spiders or crawlers. This grant specifically includes Overture's right to create and display copies of any and all text, graphics, images, audio, video, and all other material included or found on such Web sites or portions thereof, including the right to create and display thumbnail and full-scale copies of any images or video included on or found on such Web sites or portions thereof.
Your Site. This agreement is for the rental of your site ONLY, and not for any property associated with your site. Subletting of your site or any portion of your site is prohibited under any circumstance.
Your Site. 4.1 You are entirely responsible for:
(a) the content on Your Site; and
(b) all dealings You have with users of Your Site.
4.2 You indemnify SPINOFF DIGITAL against all costs (including legal costs), expenses, damages, accounts or other losses or liability, including those from any actions, suits, proceedings, claims or demands, made against or suffered by SPINOFF DIGITAL in connection with:
(a) Your Site;
(b) the content of Your Site; and
(c) any failure by You to meet the responsibilities described in clause 4.1, including any and all claims made against SPINOFF DIGITAL:
(i) by users of Your Site;
(ii) by any third party alleging that the content on Your Site, or any content of Your Site, infringes any Intellectual Property Rights or Moral Rights or any person or otherwise breaches any law.
4.3 You acknowledge that:
(a) Your Site will not allow any ftp access to it;
(b) the website is coded to display and function on current operating systems and website browsers; and
(c) if new operating systems or browsers are introduced or new versions of operating systems or browsers are introduced after completion of the Web Development which affects the display or operation of Your Site, the cost of addressing these issues must be borne by You.
4.4 Once the final invoice for the Web Development has been paid, You are granted a perpetual non-revokable licence to use the Web Development as You see fit with the following exclusions:
(a) pages driven by the xxxxxxxxxx.xxx or xxxxx.xxx or MyDesktop database are reliant on the continued use of the nominated database including subscription to it and are not transferrable to another host provider;
(b) pages driven by Spinoff Digital hosted application (e.g. CMS editor) cannot be transferred to another host provider.
Your Site. 19.1 You are entirely responsible for:
(a) the content on Your Site (including all content that SPINOFF DIGITAL host on Your behalf as part of the Hosting Service);
(b) ensuring that the content that SPINOFF DIGITAL host on Your behalf does not contain any virus or otherwise disrupt or corrupt the data or systems of any person;
(c) all dealings You have with users of Your Site; and
(d) ensuring that all content complies with and does not breach any laws that apply in Western Australia.
Your Site. Gold Support Services will be delivered to the site(s) and for the systems indicated on the applicable Premier Service Invoice (“Gold Supported System”). You agree to give Dell at least thirty (30) days written notice prior to relocating Gold Supported Systems. Some Gold Support Services are not available at all locations. Dell’s obligation to supply Gold Support Services to relocated Gold Supported Systems is subject to local availability and may be subject to additional fees, and to inspection and recertification of the relocated Gold Supported Systems at Dell’s then current time and materials consulting rates.
Your Site. 4.1 You are entirely responsible for:
(a) the content on Your Site (including all content that we host on Your behalf as part of the Hosting Service);
(b) ensuring that the content that we host on Your behalf does not contain any virus or otherwise disrupt or corrupt the data or systems of any person; and
(c) all dealings You have with users of Your Site.
4.2 You acknowledge and undertake that:
(a) You will not upload any unlawful, objectionable or offensive material on to Your Site,
(b) We can remove any material from Your Site, at our discretion, if we believe that Your Site contains unlawful, objectionable or offensive material,
(c) What constitutes unlawful, objectionable and/or material is wholly at our discretion and shall include, but is not limited to: material that is pornographic, harassing, defamatory, threatening, obscene, abusive, racist, sexist, indecent, drug-related and/or harmful,
(d) You will not undermine the security or integrity of our computing systems or networks, or where we engage a third party provider, that provider’s computing systems or networks,
(e) You will not use, or misuse, Your Site in any way which may impair the functionality of the Hosting Service or any systems used to deliver the Hosting Service,
(f) You will not attempt to gain unauthorized access to any materials other than that to which you have been given express permission to access or to attempt to gain access to the computer system on which the Hosting Service is hosted,
(g) You will not attempt to transmit from, or input into Your Site, any: * files that may damage any other person’s computing devices or software, * content that may be offensive, * content that may be objectionable, or * any material or data in violation of any law,
(h) You will not attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver the Hosting Service.
4.3 You will indemnify the Service Provider against all costs (including legal costs), expenses, damages, accounts or other losses or liability, including those from any actions, suits, proceedings, claims or demands, made against or suffered by the Service Provider in connection with:
(a) Your Site;
(b) the content that we host for You as part of the Hosting Service; and
(c) any failure by You to meet the responsibilities described in clause 4.1 and 4.2, including any and all claims made against the Service Provider:
(i) by users of Your Site;
(i) by any third party alle...
Your Site. Within 90 days after signing this Agreement, you must locate premises that we (in our sole judgment) have approved and sign a lease or otherwise acquire the right to possess the Site on terms acceptable to us. Once approved, the Site for your WOB Tavern will be designated in Exhibit A. In the event the Site of the WOB Tavern has not yet been determined as of the date of this Agreement, then the geographical area in which the WOB Tavern is to be located will be within a defined area which is described or otherwise mapped out in Exhibit B ("Designated Area"). At such time as the location of the Site has been determined in accordance with Section 4.1, the address of the Site will be inserted in Exhibit A. You acknowledge and understand that the Designated Area is delineated for the sole purpose of site selection and does not confer any territorial exclusivity or protection.
Your Site. 3.1.1 If Your Site is notifiable under The Construction (Design and Management) Regulations 2015 you must notify UK Power Networks upon entry into this Agreement the name, postal address, telephone number and email address of the CDM Co-ordinator and the Principal Contractor.
3.1.2 You must at your expense give UK Power Networks:
(i) unobstructed pedestrian and vehicular access (including the provision of any load bearing surfaces) to and within Your Site; and
(ii) site facilities on Your Site, as UK Power Networks may reasonably require to enable it to properly carry out its obligations under Clause 4 (UK Power Networks' Obligations).
3.1.3 You are responsible at your own expense for the security of all Plant and UK Power Networks’ equipment (and that of its sub-contractors) on Your Site.
3.1.4 At UK Power Networks’ request you must operate free of charge for the purposes of the Works any suitable lifting equipment belonging to you or under your control that may be on Your Site. You must retain control of and be responsible for the safe working of the lifting equipment.
Your Site. Any marketing channels by which an Affiliate advertises the Program and Card Merchant: A business or organization approved to accept a Card. Purchaser: Person or legal entity that purchases a Card. Recipient: Person or legal entity that receives a Card.
