Rescission. If (a) the customer is in arrears with payments to Standout or to any of the other affiliated companies, regardless of whether these debts stem from this or other orders; and/ or (b) insolvency proceedings have been initiated against him/her or there is a threat of such proceedings being initiated, Standout shall be entitled to withdraw from the contract
Rescission. If (a) the customer is in arrears with payments to Expoxx Messebau or to any of the other affiliated companies, regardless of whether these debts stem from this or other orders; and/or (b) insolvency proceedings have been initiated against him/her or there is a threat of such proceedings being initiated, Expoxx Messebau shall be entitled to withdraw from the contract and to withhold the provision of services, regardless of the duty of the customer to pay. Should Expoxx Messebau choose to withdraw from the contract the customer shall be liable to pay the agreed cancellation fee.
Rescission. If (a) the customer is in arrears with payments to System Standbau or to any of the other affiliated companies, regardless of whether these debts stem from this or other orders; and/ or (b) insolvency proceedings have been initiated against him/her or there is a threat of such proceedings being initiated, System Standbau shall be entitled to withdraw from the contract and to withhold the provision of services, regardless of the duty of the customer to pay. Should System Standbau choose to withdraw from the contract the customer shall be liable to pay the agreed cancellation fee.
Rescission. The AG shall be entitled to rescind the agreement by written declara- tion prior to delivery of the object of purchase. In such cases the AN shall be entitled to claim his expenses incurred up to the time of re- scission.
Rescission. If the Buyer becomes aware of any circumstances concerning the Supplier which seriously call into question the due processing of the order, the Buyer will be entitled to rescind the contract with regard to the Deliveries outstanding without compensation.
Rescission. The seller shall reserve the right to rescind the contract in case of difficulty in the supply itself or in supply at the agreed prices due to exceptional circumstances such as, without limitation, involvement in war or compulsory government measures of any kind at home or abroad (import or export bans or restrictions, rises in customs duties, currency fluctuations, increases in prices of material or wages, etc.) to an extent beyond the cyclical fluctuations usual even under normal conditions. Instead of rescind- ing the contract, the seller may maintain it at his discretion and merely propose a corresponding increase in the agreed selling prices or apply to supply substitute mate- rials.

  • Payment Unless agreed otherwise, payment shall be made 60 days net without any discount. The payment period shall commence as soon as the delivery or service has been completed in its entirety, and has, where necessary, been formally accepted by us and we have received the properly formulated invoice.

  • Provision 1. Die Agentur erhält für die Vermittlung eines Leistungsangebots des Veranstalters eine Provision. Die Provision wird auf den Verkaufspreis der Landleistungen gezahlt. 2. Die Höhe der Provision ergibt sich aus Anlage I zu diesem Vertrag. Änderungen der Provision sind nur aufgrund besonderer schriftlicher Vereinbarung möglich. 3. Der Anspruch auf Provision entsteht nach ordnungsgemäßer Vermittlung der Reise und vollständiger Zahlung des Reisepreises. Es kommt hierbei auf den Zahlungseingang auf dem Konto des Veranstalters an. 4. In der Provionsabrechnung wird der Provisionsbetrag gesondert ausgewiesen. Entsteht der Anspruch auf Provision im Weiteren nicht bzw. entfällt er nachträglich, so ist der Provisionsbetrag unverzüglich von der Agentur an den Veranstalter zurückzuerstatten. 5. Die Provision wird nicht gezahlt auf außerhalb des Reisepreises erhobene Gebühren, Entgelte und Steuern (z. B. Luftsicherheitsgebühren, Steuer nach dem Luftverkehrsgesetz, Tickethinterlegungsgebühren oder Visagebühren). 6. Der Veranstalter ist berechtigt, bei nachweislichen Verstößen gegen die vereinbarten Provisionsvorschriften die jeweilige Provision auf bis zu 6 % zu kürzen. 7. Mit der Zahlung der Provision sind alle Ansprüche, Kosten und Aufwendungen der Agentur aus der Vermittlung - seien sie bekannt oder unbekannt - vollständig erfüllt. 8. Die Provisionsvereinbarung zwischen den Parteien kann mit einer Frist von drei Monaten zum Jahresende geändert werden. Widerspricht die Agentur der Änderung nicht binnen zwei Wochen nach Zugang schriftlich, ist sie vereinbart und damit Vertragsinhalt geworden. Widerspricht die Agentur und die Parteien können sich nicht einigen, hat dies die Wirkung einer fristgerechten Kündigung des Vertrages.
