A/P means all accrued amounts owed by Seller as of the "Proration Time" (as defined in Section 1.54 below), and arising out of the ownership or operation of the Hotel and the Hotel Business, including, without limitation, the following: unpaid charges for utilities, amounts payable to creditors from whom inventory, FF&E and other items have been purchased and received (and the asset recorded on the books and records of the Hotel), amounts payable under the Assumed Contracts, credit card commissions payable, travel agent commissions, and with respect to maintenance, cleaning and other services performed in connection with the operation of the Hotel and the Hotel Business. A/P does not include: any closing costs incurred by Seller in connection with the Closing; amounts owed to any affiliate of the Seller other than with respect to commercial services being provided with respect to the operation of the Hotel or the Hotel Business upon arm's length terms and conditions (but specifically excluding any management services); employment-related liabilities as more specifically set forth in Section 11.4 below, including benefit and insurance-related liability; accrued, but unpaid attorneys fees; and amounts currently owed under the Existing Financing.

  • Grenfell Tower support payment means a payment made to a person because that person was affected by the fire on 14th June 2017 at Grenfell Tower, or a payment to the personal representative of such a person—

The A/E shall be (1) a registered architect holding a license and certificate of authorization issued by the Ohio Architects Board pursuant to ORC Chapter 4703, (2) a landscape architect holding a license and certificate of authorization issued by the Ohio Landscape Architects Board pursuant to ORC Chapter 4703, or (3) a professional engineer or professional surveyor holding a license and certificate of authorization issued by the Ohio Engineers and Surveyors Board pursuant to ORC Chapter 4733. As used in the Agreement, the term A/E may include a criteria architect or engineer for a Design-Build project.

  • Direct Assignment Facilities means facilities or portions of facilities that are constructed for the sole use/benefit of a particular Transmission Customer requesting service under the Tariff. Direct Assignment Facilities shall be specified in the Service Agreement that governs service to the Transmission Customer and shall be subject to Commission approval.

  • Accredited institution means an institution of higher education accredited by a regional accrediting agency recognized by the United States Department of Education.

  • Rents from Real Property With respect to any REO Property, gross income of the character described in Section 856(d) of the Code.

  • Onshore facility means any facility any part of which is located in, on, or under any land of the state, other than submerged land, that because of its location, could reasonably be expected to cause substantial harm to the environment by discharging oil into or on the navigable waters of the state or the adjoining shorelines.

  • Class P Interest An uncertificated interest in the Trust Fund held by the Trustee on behalf of the Holders of the Class P Certificates, evidencing a Regular Interest in REMIC III for purposes of the REMIC Provisions.

  • Contract Number means, with respect to any Contract included in the Trust, the number assigned to such Contract by the Servicer, which number is set forth in the related Schedule of Contracts.

  • A3 or higher from Xxxxx’x; “A” or higher from Fitch; and/or the equivalent from another internationally recognised credit rating agency acceptable to the Association.   • Flowgate means a representative modeling of facilities or groups of facilities that may act as potential constraint points.

  • Sub-acute facility means a facility that provides intermediate care on short-term or long-term basis.

  • R E C I T A L S The parties desire to enter into this Agreement setting forth the terms and conditions of the employment relationship between the Corporation and the Executive.

  • Trader ID means a unique identifier issued to each Authorized Trader which enables BSEF to identify the individual entering RFQs or Orders into the SEF operated by BSEF.
