Advance Certificate definition

Advance Certificate has the meaning set forth in Section 1.5.

Advance Certificate means a certificate executed by an Authorized Borrower Representative in substantially the form attached hereto as EXHIBIT C, requesting the Underwriter to assign CUSIP numbers and requesting the Trustee to authenticate a Subsequent Subseries of the Series 2024A Bonds.

Advance Certificate has the meaning set forth in Section 2.2 hereof.

Examples of Advance Certificate in a sentence

• Interest will accrue on each Advance from the applicable Advance Date, which shall be (i) with respect to the Initial Advance, the Closing Date, and (ii) with respect to each Additional Advance, the Advance Date set forth in the Advance Certificate for the related Subseries.

• From time to time thereafter, the Underwriter shall, upon delivery by the Borrower to the Trustee and the Bondholder Representative, at least 45 days prior to the Advance Date, of an Advance Certificate, in substantially the form set forth as Exhibit C, make Additional Advances of Series 2024A Bond principal, as further described below in this Section (b), which amounts shall be deposited as set forth in the related Advance Certificate.

• The Initial Advance with respect to the Series 2024A Bonds by the Underwriter and each Additional Advance with respect to the Series 2024A Bonds shall constitute proceeds of the Series 2024A Bonds, and the purchase price of each Advance (net of original issue discount) shall constitute the full purchase price of the corresponding principal amount of the Series 2024A Bonds noted on the Advance Certificate.

• The interest rate for each Subsequent Subseries of Series 2024A Bonds shall be determined two Business Days prior to the Advance Date (as defined in and as set forth in the related Advance Certificate), calculated as set forth below in this Section (b).

• The proceeds of each Advance related to the Series 2024 Bonds will be deposited in the funds and accounts relating to the Bonds in accordance with Section 3.1 of this First Amendment (and in accordance with the related Advance Certificate described under the Indenture) and shall be held and applied in accordance with the Indenture.

Advance Certificate means a certificate executed by Parent (on behalf of itself and each of the other Dealers) to CDF, which Advance Certificate sets forth a description of each item of Equipment to be subject thereto, the amount of the requested Advance related thereto, and such other information as CDF may reasonably request, an example of which is included as Exhibit C hereto (Equipment Finance Form).

Advance Certificate means a certificate executed by an Authorized Borrower Representative in substantially the form attached hereto as Exhibit C, requesting the Underwriter to assign CUSIP numbers and requesting the Trustee to authenticate a Subsequent Subseries of the Series 2024A Bonds.

Advance Certificate means an “Advance Certificate” under and in accordance with the terms of the TIF Note, the form of which is set forth in Exhibit 3 to the TIF Note.

Advance Certificate means, with respect to each Advance, a certificate duly executed by an Approved Officer of Borrower and issued to the Administrator pursuant to Section 2.3(a) which shall: (i) be in substantially the form of Exhibit A; (ii) specify the amount to be advanced and the proposed Advance Date; (iii) be accompanied by or include as attachments thereto documentary evidence reasonably satisfactory to the Administrator of the costs proposed to be financed with proceeds of the Loan which are the subject of such Advance and of their eligibility as Allowable Costs (which may include final invoices due but not yet paid); (iv) certify that all such costs are Allowable Costs; (v) be accompanied by an updated form of Schedule B categorizing the Allowable Costs by line-item identified therein; and (vi) certify that, as of the Advance Date, all conditions precedent set out in Article II will be satisfied and no Material Adverse Effect, Breach or Advance Suspension Event has occurred and is continuing or will occur as the result of the Advance.

Advance Certificate shall have the meaning set forth in Section 3.1(e) of the Participation Agreement.
