Party Information. The TIP Specification may contain links to third-party websites and standards and specifications (for example, H.264 and the IETF RTP specification) that are not under the control of IMTC, or of Cisco, or of any Affiliate of either of them. Neither IMTC nor Cisco nor any Affiliate of either of them is responsible for the content on any linked site or referenced standard or specification. If You access a third-party website mentioned in the TIP Specification, then You do so at Your own risk. IMTC and Cisco provide these links and references only as a convenience, and the inclusion of the link or reference does not imply that IMTC, Cisco, or any Affiliate of either endorses or accepts any responsibility for the content on those third-party sites or of the referenced standards and specifications. Nothing in this Agreement grants any right, license or interest in or to any third party technology referenced in the TIP Specification. You acknowledge that the owners of intellectual property rights asserted to be necessary to implement any referenced standard may or may not make those intellectual property rights available to implementers. Party Information. Except to the extent prohibited by Applicable Law, each Party has provided, and shall continue to provide the other Party with accurate policies and other information about the Party’s Systems reasonably requested to discharge its duties under this Agreement or Applicable Law. Each Party shall provide Notice to the other Party if it becomes aware that any information provided by the Party has materially changed. Each Party acknowledges that the other Party reserves the right to confirm or otherwise verify or check, in its sole discretion, the completeness and accuracy of any policy or system information provided by a Party at any time, and each Party will reasonably cooperate with the other Party in such actions, given reasonable prior written Notice.
Party Information. In performing its obligations under this Agreement, neither Party shall be obligated to disclose any Party Information. If a Party elects to disclose Party Information in performing its obligations under this Agreement, such Party Information, together with all improvements, enhancements, refinements and incremental additions to such Party Information that are developed, conceived, originated or obtained by either Party in performing its obligations under this Agreement ("Enhancements"), shall be owned exclusively by the Party that originally developed, conceived, originated or obtained such Party Information. Each Party may use and enjoy the benefits of such Party Information and Enhancements in the conduct of the Business hereunder, but the Party that did not originally develop, conceive, originate or obtain such Party Information may not use such Party Information and Enhancements for any other purpose. Except as provided in Section 16.4, or with the prior written consent of the other Party, which consent may be withheld in such Party's sole discretion, each Party shall keep confidential and not disclose to any third party or the public any portion of Party Information and Enhancements owned by the other Party that constitutes Confidential Information.

Party Information. During and after employment with Insight, Employee covenants and agrees to protect and preserve the confidentiality of all Trade Secrets, Confidential and Proprietary Information, and Third-Party Information. Other than for the purpose for which such information was provided to Employee to perform services for the benefit of Insight, Employee further covenants and agrees that Employee will not, directly or indirectly, disclose, transfer, use, sell, publish, make available, exploit, or otherwise facilitate or permit the sale, transfer, use, publication, or exploitation of any Trade Secrets, Confidential and Proprietary Information, or Third-Party Information, other than to: • an employee, officer, or director of Insight who, in the reasonable exercise of Employee’s judgment, needs to know such Trade Secrets, Confidential and Proprietary Information, or Third-Party Information to perform Employee’s duties; or • a vendor, supplier, or strategic partner of Insight as long as Employee: i) receives approval from Employee’s immediate supervisor before each disclosure; ii) ensures that each vendor, supplier, or strategic partner is bound by a non-disclosure agreement with Insight; and iii) ensures that there is no agreement between Insight and the affected Client that would prohibit the sharing of that particular information with the vendor, supplier, or strategic partner.
Party Information. The parties agree that the terms of this section extend to such types of information, materials, and tangible property of third parties who may have disclosed or entrusted the same to either party with the expectation of confidentiality.
Party Information. Service Provider understands that Gilead has received and in the future will receive from third parties confidential or proprietary information (“Third Party Information”) subject to a duty on Gilead’s part to maintain the confidentiality of such information and to use it only for certain limited purposes.
