GFG shall have no liability for any claims by Client that may result from provisions in the franchise agreement that interfere with the Guidant 401(k) strategy, and any such problems arising from the franchise agreement shall not constitute grounds for a refund of the Agreed Fee unless rescission is properly and timely invoked by Client in accordance with Paragraph 14 below.
In the event of such material breach, GFG shall still be entitled to full payment of the Agreed Fee but is excused from any and all further performance of this Agreement.
GFG will pay the Law Firm’s fee for the two telephonic consultations out of the Agreed Fee Client pays to GFG.
The Agreed Fee does not include the initial issuance of any required state business license(s).
Furthermore, the Agreed Fee does not include any state, county or local fees or taxes due after the formation documents, including any publication requirements, county recordings, or other advertising requirements imposed by the state (and related fees for such requirements), state fees for annual reports or initial annual reports, franchise fees, business taxes, state business license renewal fees, and other periodic state-imposed maintenance costs.
