Approved Servicing Agreement means a Servicing Agreement between Borrower and an Agency approved by Bank in its sole discretion as an Approved Servicing Agreement for the purposes of this Agreement.   • Borrower will warrant and forever defend the right, title and interest of Bank in and to the Pledged Servicing Rights and Pledged Servicing Receivables against the claims and demands of all Persons whomsoever (subject to any rights of any Agency under any Approved Servicing Agreement, Acknowledgment Agreement, or Agency Guidelines).

  • Sale and Servicing Agreement means the Sale and Servicing Agreement, dated as of the Closing Date, between the Seller, the Issuer, the Servicer and the Indenture Trustee, as the same may be amended, modified or supplemented from time to time.
