Authorized Materials definition

Authorized Materials means individually and collectively, Authorized Recordings, Authorized Artwork, associated metadata and any Preview Clips and all other artistic and literary materials delivered to Company under this Agreement pursuant to paragraph 12 below **** for use in connection with the Services, together with Authorized Ancillary Materials. For the avoidance of doubt, Local Files may include sound recordings owned or controlled by Label, but shall not be considered Authorized Materials for the purposes of this Agreement.
Authorized Materials means: (i) those written or recorded materials provided by the Franchisor to the Representative for purposes of soliciting prospective Franchisees, including the FOC, Franchise Agreement and exhibits, brochures and applications; (ii) written or recorded materials prepared by the Representative upon the specific written request of, or that have previously been approved in writing by the Franchisor; and (iii) general written correspondence prepared by the Representative that is based upon, and not inconsistent with (i) or (ii) above, nor inconsistent with policies and procedures of the Franchisor stated in this Agreement and otherwise in writing by the Franchisor. No materials are considered Authorized Materials if the Franchisor has notified the Representative (or the Representative is otherwise aware) that the materials are no longer Authorized Materials; the materials are not current or are misleading and the Franchisor has notified the Representative (or the Representative is otherwise aware) that the materials are no longer correct or are misleading; or the materials later become inconsistent with facts, policies or procedures the Franchisor states in writing to the Representative. The Representative will make no representations that would not, if written, be Authorized Materials.
Authorized Materials means: (i) those written or recorded materials provided by the Franchisor to the Master Franchisee for purposes of soliciting prospective Franchisees, including the Franchise Agreement and exhibits, brochures and applications; (ii) written or recorded materials prepared by the Master Franchisee upon the specific written request of, or which have previously been 43 approved in writing by Franchisor; and (iii) general written correspondence prepared by the Master Franchisee which is based upon, and not inconsistent with (i) or (ii) above, nor inconsistent with policies and procedures of the Franchisor specified in this Agreement and otherwise set forth in writing by the Franchisor from time to time. No materials shall be considered Authorized Materials if the Franchisor has notified the Master Franchisee (or the Master Franchisee is otherwise aware) that such materials are no longer Authorized Materials; such materials are not current or are misleading and the Franchisor has notified the Master Franchisee (or the Master Franchisee is otherwise aware) that such materials are no longer correct or are misleading; or such materials subsequently become inconsistent with facts, policies or procedures the Franchisor specifies in writing to the Representative. The Master Franchisee shall make no representations which would not, if written, constitute Authorized Materials. The Representative shall be responsible for the translation of the Authorized Materials into the appropriate language.

  • Notwithstanding the foregoing and at all times subject to Paragraph 6, Company acknowledges that certain Authorized Materials may only be eligible for exploitation via the Services in one or more parts of the Territory and the territorial eligibility for each such title will be determined by Label (in relation to SME Materials) or Orchard (in relation to Orchard Materials) on a title-by-title basis (via metadata) for each item of Authorized Materials.

  • For the avoidance of doubt, the Grant of Rights hereunder shall not authorize access to Authorized Materials by End Users in commercial premises or other non-private settings, and Company shall monitor for suspicious activity in respect of the same and enforce the terms of its end user terms of use.

  • During the ****, and (y) all Authorized Materials **** made available via the Service shall **** (such Authorized Materials are sometimes referred to herein as ****), as Label shall direct.

Related to Authorized Materials

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • SAP Materials means any materials (including statistical reports) provided, developed or made available by SAP (independently or with Customer’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Professional Services to Customer. SAP Materials do not include the Customer Data, Customer Confidential Information or the Cloud Service. SAP Materials may also be referred to in the Agreement as “Cloud Materials”.

  • Instructional materials means relevant instructional

  • Specified Materials means the basic materials required on the Site for the execution and completion of Works, which shall include fuel and lubricants; cement; aggregates; steel reinforcement; timber and gravel.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.
