Basic Subscribers definition
Basic Subscribers means all of the following which are receiving basic cable television service provided by the CATV Systems:
Basic Subscribers means, as of any date and for each System, all Active Customers of Basic Services of such System who are individually billed for Basic Services.
Basic Subscribers means, as at any date, (a) single household dwellings with one or more television sets that receive a package of over-the-air-broadcast stations, local access channels or certain satellite-delivered cable television services from a CATV System, plus, without duplication, (b) the number of subscribers determined by dividing the aggregate dollar monthly amount billed for basic service to bulk subscribers (hotels, motels, apartment buildings, hospitals and the like) located in a particular CATV System by the applicable combined limited and expanded cable rate charged to basic subscribers in such CATV System, plus (c) connections to schools, libraries, local government offices and employee households that may not be charged for limited and expanded cable services but may be charged for premium units, pay-per-view events or high-speed Internet service. This definition shall be subject to such modifications as the Borrowers from time to time determine to be reasonably appropriate (and of which the Borrower shall notify the Administrative Agent, which shall promptly notify the Lenders), provided that such modifications are consistent with the periodic reports and/or registrations at the time being filed with the Securities and Exchange Commission by Mediacom LLC or MCC.

The Preliminary Adjustments Report will include a complete list of subscribers, a detailed calculation of the number of Equivalent Basic Subscribers and a schedule setting forth advance payments made to or by Seller and deposits made by Seller, as well as accounts receivable information relating to the Business (showing sums due and their respective aging as of the Closing Date).
For purposes of this Agreement, the "Subscriber Shortfall" equals the number, if any, by which the Equivalent Basic Subscribers of the Systems at the Closing is less than the Subscriber Threshold.
The number of Equivalent Basic Subscribers served by the Systems (including those served under Retained Franchises) is not less than 85% of the Subscriber Threshold.
For purposes of calculating the Franchise Consent Ratio, the number of Equivalent Basic Subscribers related to each franchise and for all of the Systems as a whole will be calculated as of April 30, 2001, or otherwise agreed upon by the parties.
Also disclosed on Schedule 4.16 are the approximate number of homes passed by the System, and the approximate number of Equivalent Basic Subscribers of the System as of the applicable dates specified therein.

Basic Subscribers means any customer account that is billed by individual unit and pays the standard monthly rate (without discount) for Basic Service as set forth in SCHEDULE 5.15.

Basic Subscribers means the sum of (i) the number of all active subscribers to the Cable Systems receiving the lowest level of television service that may be subscribed to by such subscribers, who are billed for such service at a monthly rate equal to the published residential rate card rate, plus (ii) the number of Equivalent Basic Subscribers, in each case determined as of the most recent end-of-month billing cycle cut-off and reporting date.
Basic Subscribers means, as of any date and for each System, all Active Customers subscribing to Basic Services.
