Buyer Representative definition

Buyer Representative means the person(s) so designated on Schedule C hereto or any other person designated in a writing signed by Buyer and delivered to Escrow Agent and the Seller Representative in accordance with the notice provisions of this Agreement, to act as its representative under this Agreement.

Buyer Representative means any director, officer, employee, manager, agent, consultant, distributor or other representative of any Buyer Group Member.

Buyer Representative shall have the meaning set forth in Section 5.3 hereof.

• In the event of any conflict between the terms of the Intercreditor Agreement and this Agreement governing the priority of the security interests granted to the Buyer Representative or the exercise of any right or remedy, the terms of the Intercreditor Agreement shall govern and control.
