C ause definition

C ause means (a) misappropriation of funds, (b) conviction of a crime involving moral turpitude, or (c) gross negligence in the performance of duties, which gross negligence has had a material adverse effect on the business, operations, assets, properties or financial condition of the Company and its subsidiaries taken as a whole.

Any determination of whether Cause exists shall be made by the Committee in good faith in its reasonable discretion.
