Certificate of the District The term “Certificate of the District” means an instrument in writing signed by any of the following District officials: the President or Vice President of the Board of Education, the Superintendent, Chief Business Officer, or any such official’s duly appointed designee, and any other officer of the District duly authorized by the Board of Education of the District or the Superintendent for that purpose.
A Tax Certificate of the District in form satisfactory to bond counsel, signed by such officers of the District as shall be satisfactory to bond counsel and the Underwriter.
The Trustee may conclusively rely, and is protected in relying, upon a Certificate of the District and an opinion of counsel stating that all requirements of this Indenture relating to the amendment or modification hereof have been satisfied and that such amendments or modifications do not materially adversely affect the interests of the Owners.
The District shall file a Certificate of the District with the Trustee that sufficient funds from insurance proceeds or from any funds legally available to the District, or from any combination thereof, are available in the event it elects to repair, reconstruct or replace the Facility.
The preparation of a Continuing Disclosure Certificate of the District (the “Continuing Disclosure Certificate”) is hereby approved.
