Class Counsel Fees Payment and “Class Counsel Litigation Expenses Payment” mean the amounts allocated to Class Counsel for reimbursement of reasonable attorneys’ fees and expenses, respectively, incurred to prosecute the Action.

Plaintiffs and/or Class Counsel will file a motion for Class Counsel Fees Payment and Class Litigation Expenses Payment no later than sixteen (16) court days prior to the Final Approval Hearing.

Class Counsel Fees Payment and “Class Counsel Litigation Expenses Payment” mean the amounts allocated to Class Counsel for reimbursement of reasonable attorneys’ fees and expenses, respectively, incurred to prosecute the Action, including, but not limited to, costs associated with documenting the Settlement, securing the Court’s approval of the Settlement, any expert expenses, and securing an entry of Judgment on all claims in the Action which are covered by the Released Claims as defined herein. Class Counsel will request Class Counsel Fees Payment not to exceed 35 percent of the Gross Settlement Amount, which, unless increased pursuant to paragraph 4.1 of this Agreement, amounts to a total of Two Hundred Eighty-Eight Thousand Seven Hundred Fifty Dollars and Zero Cents ($288,750.00). The Class Counsel Litigation Expenses Payment requested to be reimbursed will not exceed Twenty-Five Thousand Dollars and Zero Cents ($25,000.00).
