Class E-1 Notes definition

Class E-1 Notes. The Equipment Contract Backed Notes, Series 2010-A, Class E-1 issued by LEAF Capital Funding SPE A, LLC, pursuant to the Indenture, with a maximum Outstanding Note Balance of $6,184,000, unless increased pursuant to the Optional Commitment Increase.
Class E-1 Notes has the meaning set forth in the first recital.
Class E-1 Notes means the Initial Notes that are designated Class E-1 Notes, including the Class E-1 Note issued on the Initial Closing Date with an Outstanding Principal Balance equal to $139,661,492 and the Class E-1 Notes issued in connection with the delivery of a Remaining Aircraft in accordance with Section 2.12, and all Notes, if any, issued in replacement or substitution therefor.

Examples of Class E-1 Notes in a sentence

  • The Collateral secures the Class E-1 Notes issued under the Indenture equally and ratably without prejudice, priority, or distinction between any Class E-1 Note and any other Class E-1 Note by reason of time of issue or otherwise, and also secures the payment of certain other amounts and certain other obligations as described in the Indenture.

  • Neither the Class E-1 Notes nor the Contract Assets are insured by any Person or any governmental agency.

  • The Class E-1 Notes may be exchanged, and their transfer may be registered, by the Class E-1 Noteholders in person or by their attorneys duly authorized in writing at the Corporate Trust Office of the Trustee only in the manner and subject to the limitations provided in the Indenture, and upon surrender and cancellation of the Class E-1 Notes.

  • The Class A Notes, the Class B Notes, the Class C Notes, the Class D Notes and the Class E-1 Notes shall be issued initially in the form of Rule 144A Global Notes, which shall be delivered by the Trustee to the Security Depository or pursuant to the Security Depository’s instructions, and registered in the name of the Security Depository or a nominee of the Security Depository, duly executed by the Issuer and authenticated by the Trustee as hereinafter provided.

  • Interest shall accrue on the Outstanding Note Balance of the Class E-1 Notes as of the first day of the applicable Interest Accrual Period and (to the greatest extent legally enforceable) on any overdue payment of interest from the date such interest became due and payable (giving effect to any applicable grace periods provided in the Indenture) until fully paid, at the Note Rate for the Class E-1 Notes specified in the Indenture (calculated in accordance with the Indenture).

  • The Class A Notes, the Class B Notes, the Class C Notes, the Class D Notes and the Class E-1 Notes are being offered and sold by the Issuer to the Initial Purchaser pursuant to the Note Purchase Agreement.


More Definitions of Class E-1 Notes

Class E-1 Notes means any Class E-1 Notes described in Article II of, and authorized by, and authenticated and delivered under, the Indenture.
Class E-1 Notes means the Initial Notes that are designated Class E-1 Notes, including the Class E-1 Note issued on the Initial Closing Date with an Outstanding Principal Balance equal to the Initial Expense Amount plus the Initial Expense Reserve Amount, the Class E-1 Notes issued in connection with the delivery of an Initial Aircraft in accordance with Section 2.12 and any Class E-1 Notes issued in accordance with Section 2.20, with the aggregate Outstanding Principal Balance for all Class E-1 Notes not to exceed $418,000,000, and all Notes, if any, issued in replacement or substitution therefor.
Class E-1 Notes means the Class E-1 Deferrable Mezzanine Secured Floating Rate Notes due November 5, 2035, issued by the Co-Issuers on the Closing Date, that bear interest at a floating rate per annum equal to LIBOR plus 2.90%.
